DTCC offers a flexible/hybrid model of 3 days onsite and 2 days remote (onsite Tuesdays, Wednesdays and a third day unique to each team or employee).
Position Summary:
Being a member of DTCC General Counsel's Office, the Assistant General Counsel will have primary responsibility for providing legal advice and guidance to DTCC’s worldwide procurement and sourcing teams on agreements of all types, including SAAS, software licensing, professional services, nondisclosure, real estate, insurance, training, and bespoke development / strategic relationships. This attorney will work closely with another attorney dedicated to legal aspects of the procurement and sourcing function and will frequently partner with members of DTCC’s Innovation, Third Party Risk, IT Vendor Management, and Privacy teams to solve challenges relating to Artificial Intelligence, Machine Learning, Information Security, and Data Protection and specific regulations impacting DTCC and its affiliates, to ensure DTCC’s contracts reflect the latest developments and industry standards and align with applicable law and regulation. This position also involves regularly working closely with internal clients in Procurement, Sourcing, Risk, and various business units enterprise-wide, as well as with Legal colleagues internationally.
Specific Responsibilities:
Conduct legal review of matters referred for review by DTCC’s Corporate Procurement Services (“CPS”) team, ensuring engagement-specific facts and communicated business requirements for the engagement are documented and reflected in any resulting contractual documents;
Independently drive projects to completion, assess and triage priorities, and regularly engage with subject matter experts and CPS teams to manage workflow and expectations;
Conduct risk analysis and issue spot engagement-specific risks to be raised to various partners across procurement contracts;
Draft custom agreements, letters, notices, and similar documents or communications as needed for procurement transactions;
Provide legal advice on contract interpretation questions and resolving disputes enterprise wide;
Interact with Legal (internal and external counsel), CPS, Business, IT, Finance, Compliance, Privacy, Risk, and other functional areas as necessary to support all of the above;
Support the continuous improvement of agreement templates, standard contract requirements, negotiation playbooks (and related guidance), and development or updates to contracting policies and procedures;
Stay current on industry developments relating to supply chain contracting, information technology considerations, and intellectual property considerations in light of the prevalence of emerging trends relating to Artificial Intelligence;
Handle other routine corporate legal matters or ad-hoc projects as requested, as time and experience permits.
Qualifications:
5-7 years as a practicing lawyer, with experience handling SAAS / software licensing agreements and/or procurement contracting matters, or in a large corporate in-house procurement department.
U.S. licensed lawyer in good standing where admitted.
Knowledge of and experience with general contract and commercial law.
Understanding of nuances related to review of vendor contracts in a financial institution.
Good partner management and relationship-building skills to navigate a large organization and facilitate business in compliance with internal policies and applicable law.
Excellent organizational skills, sound judgment, and clear and effective written and oral communication skills.
Proactive, collaborative, flexible, “can do” demeanor and ready to partner on initiatives that influence all aspects of the business.
Proven track record in operating with a good degree of autonomy, multi-tasking, and handling the demands of contending priorities in a fast-paced environment.
The salary range is indicative for roles at the same level within DTCC across all US locations.
