A law firm seeks an experienced Corporate and Real Estate Transactions Attorney to join its growing team in Ann Arbor, MI. This role is ideal for a candidate with 2-10 years of experience in corporate and real estate transactions who is eager to contribute to a variety of business matters, including mergers, acquisitions, and real estate deals. The successful candidate will bring strong transactional skills and a collaborative attitude, working alongside clients and colleagues to navigate complex legal challenges.Duties:
Assist in the formation of legal entities such as LLCs and corporations for start-up businesses.Advise on corporate transactions, including mergers, acquisitions, joint ventures, private offerings, succession planning, and restructuring.Provide counsel on real estate transactions, including acquisitions, dispositions, and financing arrangements.Conduct thorough due diligence for corporate and real estate transactions, assessing legal risks and offering strategic advice to mitigate them.Draft, review, and negotiate a wide array of commercial agreements, including purchase and sales agreements, independent contractor agreements, stock restriction agreements, and buy-sell agreements.Prepare and negotiate leases for commercial real property and personal property.Collaborate with clients and internal teams to structure complex business transactions, particularly in small- and mid-market sectors.Stay current with developments in corporate and real estate law, providing timely legal research and analysis as needed.Requirements:
2-10 years of experience in corporate and real estate transactions.Admission to the Michigan Bar or ability to waive in without examination.Strong experience in transactional law with a focus on corporate and real estate matters.Excellent legal drafting and negotiation skills.Proven ability to communicate directly with clients and manage client relationships independently.Ability to work independently as well as in a collaborative team environment.In-person or hybrid work arrangement; fully remote candidates will not be considered.Education:
Juris Doctor (J.D.) degree from an accredited law school.Certifications:
Active bar license in Michigan or eligibility for admission.Skills:
Strong expertise in corporate and real estate transactional law.Proficiency in drafting and negotiating commercial agreements.Excellent communication and interpersonal skills for working with clients and colleagues.Ability to conduct thorough due diligence and assess legal risks.Experience managing complex transactions in a collaborative team environment.Job Location:
