What You'll Do
As Vice President, Associate General Counsel, Corporate and M&A, you will work across Authentic's business and divisions to structure, negotiate and effectuate a broad range of corporate transactions, including potential mergers and acquisitions. You will demonstrate a high degree of business savvy, strategic thinking, drafting, negotiating, communication and collaboration skills. Corporate and M&A activity including drafting and negotiation of purchase agreements, formation of joint ventures, preparation of operating agreements and other documents in connection with investment and/or commercial transactions (including venture and growth equity transactions), management of corporate filings, drafting corporate and Board resolutions and other corporate governance matters, drafting and oversight of company equity plans and related agreements, due diligence related to acquisitions, partnering with, and managing, outside counsel on large scale M&A transactions, and negotiating stock and option agreements entered into connection with license agreements. You will provide a full range of legal functions, with a focus on brand acquisitions and intellectual property licensing. The individual knows, and can articulate, positions related to brand acquisitions and the licensing industry from start to finish, in a way that balances business needs with risk mitigation to achieve the business end-goal.
What you'll be working on
Reviewing, drafting and negotiating a wide range of agreements, including principal transaction agreements related to mergers and acquisitions and other corporate and commercial matters (e.g., letters of intent, asset purchase agreements, stock purchase agreements, consortium shareholder arrangements, joint ventures, equity and growth investments (including venture and emerging company related documents), etc.)
Planning and assisting in due diligence, actively managing deal processes and execution; and managing outside counsel
Working collaboratively with internal clients to identify issues, develop creative solutions, engage in due diligence, structure, negotiate, and consummate acquisitions and other transactions
Working with external counsel on large scale M&A transactions
Providing legal advice and support
Providing legal counsel in connection with post-closing acquisition related matters
Working with internal business partners on planning and assist in-house and outside counsel with ongoing general matters for the mergers & acquisition, finance and accounting and strategic venture teams
Must Haves
At least 6 years of hands-on complex mergers and acquisitions experience, including due diligence management, deal team leadership, and agreement negotiation and drafting, preferably in the corporate/M&A department of a law firm and/or through a comparable in-house function
Strong background in contract drafting and negotiation experience
Ability to work on a wide range of mission-critical projects, under tight time constraints, with minimal supervision
Ability to provide counsel, say no when warranted in a respectful and authoritative manner and suggest workable alternatives to meet the desired goals
Ability to identify, explain and balance business and legal risks
Organizing workflow and deadlines (including advising on priority and project management)
Detail-oriented, resourceful, adaptable, flexible, organized, discreet and cost-conscious problem solver who can remain calm and work under pressure
Experience in the Fashion, Retail, and/or Entertainment, and/or Industries are a plus
Primary Location Salary:
$200,000 - $250,000
