Job Description:
We are seeking an experienced corporate lawyer with significant expertise in commercial real estate matters and a strong foundation and interest in other corporate domains (e.g., M&A, finance, securities, etc.). This role will manage all legal aspects of the company’s international real estate portfolio, which includes technology datacenters, office spaces, and campuses. The ideal candidate will possess expertise in complex sales and leaseback transactions and will be adept at independently leading a range of legal issues related to real estate. The successful candidate will also have a broad based corporate legal background, and will contribute to the success of DXC’s corporate legal objectives by supporting colleagues in other legal domains (with specifics to be driven by department need and the candidate’s expertise and interests).
Key Responsibilities:
Legal Leadership:
Serve as a partner to the Head of Real Estate; oversee and manage all real estate legal matters for our global portfolio, including technology datacenters, office spaces, and campuses. This role will also take the lead supporting our Parent Company Guarantee governance process.
Transaction Management:
Draft, review, and negotiate purchase and sale agreements for the acquisition and divestiture of datacenters and office buildings.
Commercial Real Estate Closings:
Facilitate and direct closings, ensuring thorough due diligence, title and survey review, and resolution of objections. Coordinate with cross-functional teams to streamline the process.
Lease Administration:
Support lease administration teams in preparing, amending, renewing, extending, terminating, and managing leases, subleases, estoppels, and related commercial leasing documents.
Legal Advisory:
Provide sound legal advice on lease terms, vendor contracts, tenant improvements, and restoration requirements to operations teams.
Dispute Resolution:
Collaborate with litigation teams to manage and resolve real estate-related disputes and property tax appeals.
Additional Support:
Assist with other legal domains based on department need, interest and expertise, which may include mergers, acquisitions, restructuring, finance, and securities matters.
Basic Qualifications:
Juris Doctor (JD) or equivalent legal qualification with a valid license to practice law.
Minimum of 5 years of experience in commercial real estate law, with significant exposure to complex sales and leaseback structures. Experience with datacenters is preferred.
Demonstrated experience in commercial leasing, including drafting, negotiating, and managing lease agreements.
Additional Qualifications:
Ability to work independently with minimal supervision and manage multiple high-priority tasks.
Proficiency in working with diverse teams across various cultures.
Flexibility to work across time zones and be available outside of regular office hours as needed to support global teams.
Fluent in English; proficiency in additional languages (e.g., French, Spanish, Portuguese) is advantageous but not required.
