OverviewThe Associate Attorney will report directly to General Counsel and play a critical role in the firm’s in-house legal department reviewing, drafting, and negotiating contracts for the firm, providing tax research and guidance to the finance department, protecting the firm’s intellectual property, and working with outside counsel on a variety of business litigation matters. The ideal candidate will have at least 5-7 years of professional experience with 2-3 years of law firm or in-house experience.ResponsibilitiesDraft corporate entity documents, amendments and resolutions as needed.Provide legal guidance on business terms with outside vendors of both the firm and related subsidiaries. Draft and negotiate various contracts in collaboration with other members of the legal team.Advise on corporate governance and tax matters in conjunction with the firm’s finance team and external accountants.Protect the firm’s intellectual property and file for trademarks as needed.Conduct legal research and prepare memorandums on various local, state, and federal regulations impacting the firm.Work with external counsel to represent the firm in mediations, arbitrations, and court proceedings, as needed, to protect the firm’s legal and financial interests.Work closely with the firm’s project management team on strategic corporate projects, researching and executing on tasks necessary to advance the firm’s plans.QualificationsStrong analytical and problem-solving skills with the ability to work independently to assess complex legal issues and provide clear, actionable advice.Excellent legal research and drafting skills.Willingness to understand legal concepts in various international jurisdictions and work collaboratively with local counsel to accomplish firm objectives.Juris Doctor (JD) degree from an ABA accredited law school (required).Admission to at least one state bar and in good standing (required).5-7 years of professional experience with at least 2-3 years being inside a law firm or in-house.Bilingual in Spanish and English (preferred).
