Cornerstone's Legal Department is seeking a Senior Counsel to join its Team! This role will focus heavily on the Sales function and add great value and insight to the team!In this role you will:
Draft and negotiate
SaaS subscription agreements and various other contracts.Provide direct support
to our Sales, Sales Ops, Finance and Accounting teams and assist in the development and negotiation of a wide variety of SaaS sales, partnership, support, licensing, and services contracts.Collaborate and strategize
with business executives and sales managers on deal structure and approach.Advise on risks and liabilities
of proposed commercial transactions and devise creative and practical legal solutions to meet business objectives.Maintain and implement
form agreements, playbooks, best practices and training initiatives for the legal team.Work closely with Vice President Legal
to manage the legal and corporate affairs of the company.Review and respond
to ad-hoc legal queries and provide succinct advice to the business on contractual disputes and interpretation as well as be capable of dealing with a variety of legal issues including corporate law, regulatory matters and IT and technology matters.Work with the data privacy team
to keep abreast of and advise on applicable laws, regulations and industry guidance that impact commercial agreements.You have what it takes if you have:
J.D. degree and licensed to practice law in the United States.5+ years of substantive commercial and tech transactions experience, preferably in-house at a SaaS company.Experience drafting and negotiating a wide range of commercial contracts, with strong attention to detail.Comfort and familiarity working closely with a sales team and at ease interacting with a range of global customers and partners from commercial to enterprise businesses.Working knowledge of data security, data privacy regulations and industry compliance standards.Expertise in drafting and negotiating a wide variety of commercial agreements typical to the technology sector, such as SaaS Subscription Agreements, Data Processing Agreements and technology partnership agreements.Strong track record of performance in demanding, high-growth environments.Strong organizational, project management, and execution skills with a collaborative and flexible approach when partnering with others.Experience in using legal department technology.Excellent analytical and problem-solving capabilities, sometimes in the face of unknowns.Ability to manage and prioritize competing priorities in a fast-paced and high-volume environment without sacrificing quality, attention to detail, accuracy or timeliness.A high energy level and positive demeanor when communicating with busy internal clients, teammates, and partners outside our team.Interest in joining a highly collaborative team.Location:
