The General Counsel will provide comprehensive legal counsel to the company's board and management on various legal issues affecting the business. This role will be ideal for an ambitious Legal Counsel looking for their next step as a GC. You will be a strategic thinker with broad legal expertise to manage legal risks, ensure compliance with relevant laws and regulations, oversee litigation, and protect the company’s intellectual property. The General Counsel will also collaborate closely with Governance, Risk, and Compliance (GRC) teams to uphold high standards of corporate governance.What to expect?Contract Management & Negotiation:
Draft, review and negotiate contracts and agreements. Implement and maintain a Contract Lifecycle Management System. Update old or acquired MSA’s and SOW’s.Compliance:
Ensure that the company complies with relevant laws and regulations in its operations and business activities.Litigation Management:
Oversee legal disputes and coordinate with external law firms as necessary to handle litigation matters.Due Diligence:
Oversee due diligence processes for mergers and acquisitions, including travel to other offices or courthouses as needed.Employee Relations:
Provide legal guidance on employment-related matters, including contracts, policies, and disputes.Corporate Governance:
Advise on matters related to corporate governance and ensure compliance with applicable laws and regulations.Risk Management:
Identify and manage legal risks the company may face, and implement strategies to mitigate those risks.Quality Management:
Adherence to our Quality Management System (QMS) to ensure all work is handled securely, professionally and diligently.Skills you’ll need:Negotiation and Contract Drafting:
Ability to negotiate effectively and draft contracts that protect the company’s interests while facilitating business transactions.Broad Legal Knowledge and Expertise:
Strong foundation in legal principles across various areas of law, including corporate law, contract law, employment law, regulatory compliance, and intellectual property.Commercial Acumen:
Understanding of the organization’s business objectives and ability to align legal strategies with overall business goals. Familiarity with the industry in which Instem operates.Risk Management:
Proficiency in assessing and managing legal risks, identifying potential challenges, and developing strategies to mitigate or address them.Regulatory Compliance:
Deep knowledge of relevant laws and regulations applicable to the organization’s industry, ensuring compliance with legal requirements.Global Perspective:
Understanding of legal nuances across different jurisdictions and managing legal issues on a global scale.Financial Literacy:
