The Project Counsel for Distributed Generation will provide comprehensive legal support to distributed solar and energy storage projects throughout development, construction, and operational phases. This role involves preparing, negotiating, and finalizing various project agreements in line with organizational goals and industry regulations. The Project Counsel will play a key role in identifying and managing legal risks, coordinating with external legal resources, and collaborating across departments to ensure compliance with legal and regulatory standards. Responsibilities: Deliver legal guidance to teams involved in distributed solar and energy storage project lifecycle, including project execution, management, and operational support. Engage with project development teams to address legal matters as they arise and offer solutions that balance project objectives with regulatory requirements. Draft, review, and negotiate essential agreements, such as power purchase agreements, equipment supply and warranty contracts, construction contracts, interconnection agreements, and service contracts. Oversee the use of external legal counsel to maintain efficiency and cost-effectiveness in project support. Support compliance and documentation requirements, focusing on risk management and alignment with internal policies. Contribute to project financing and sale processes, including due diligence and preparation of legal documents for potential investors and other stakeholders. Evaluate significant project risks and provide senior management with recommendations for resolution. Work Model: Hybrid; Houston, TX or Indianapolis, IN Travel: Up to 10% Qualifications: Juris Doctor (JD) degree with 4 years of legal experience, preferably from a law firm or in-house environment. Strong background in project development, construction, and operational phases, ideally within distributed generation or renewable energy projects. Licensed to practice law in at least one state within the U.S. Proficient in a wide array of project development contracts, including construction, O&M, engineering, and consulting agreements. Skills: Strong analytical and critical thinking abilities for managing complex legal scenarios. Skilled in identifying legal risks and developing appropriate risk mitigation strategies. Effective communicator with strong verbal and written skills, and an emphasis on relationship management. Able to manage multiple projects concurrently with various timelines. Proactive organizational and planning skills, coupled with effective negotiation abilities. High ethical standards with a commitment to confidentiality and discretion.
