Legal Assistant/Paralegal.
This role will directly support the company's president and requires a strong-minded, quick-thinking, great communicator with exceptional attention to detail skills. POSITION: A paralegal with experience in commercial real estate and commercial real estate transactions, including the preparation of commercial real estate closing documents, sales agreements, leases, and other needed legal documents for review by the General Counsel, as well as assisting the General Counsel with all other Legal Department matters as necessary. This person must be well organized and demonstrate effective oral and written communication. ESSENTIAL RESPONSIBILITIES:
Review and assemble closing documents, purchase and sale agreements, leases, deeds, and other conveyance documents, communications, and ancillary legal documents.
Assist with transactional due diligence. Coordinate and analyze third-party material, including ALTA surveys, environmental, geological, and wetland reports.
Coordinate real estate title commitments and zoning reports.
Provide executive-level summaries of purchase and sale agreements, leases, and construction documents, including due dates and calendar items.
Responsible for the company's legal entities, including the creation of and maintenance of the company's various legal entities across multiple states.
Assist with the preparation of operating agreements and authorizing resolutions.
Coordinates registered agent relationships with out-of-state entities.
Accountable for creating, assembling, and distributing American Institute of Architects contract documents for various construction projects.
Coordinate with the project manager, construction manager, accounting manager, and General Counsel for timely delivery and execution of the construction contract documents.
Maintains and tracks certificates of insurance throughout development projects.
Responsible for maintaining the various insurance policies and coverage for the company and various projects and acquisitions.
Will work directly with the company's insurance broker or carrier to implement new or revise existing coverage.
Assist with legal research for in-house counsel and other executives within the company.
Manage necessary legal compliance practices, including compiling and filing necessary documents to satisfy company reporting requirements.
Professional oral and written communications with company associates, outside counsel, project partners, lender representatives, and vendors.
REQUIRED KNOWLEDGE, SKILLS, AND ABILITIES:
Bachelor's degree or some college preferred.
Minimum 3 years experience as a legal assistant or paralegal.
Commercial real estate experience is required.
Experience with American Institute of Architects contract documents is preferred.
High level of confidentiality.
Superior organizational skills and a demonstrated ability to effectively manage a varied portfolio of projects and legal matters.
