The

Vendor Contract Negotiator

is responsible for reviewing, editing/drafting and negotiating the terms (within pre-defined guidelines) of moderate or less complex contract documents with BBH vendors, such as statements of work, order forms, and the like. This includes working closely with the business sponsor and other key stakeholders to ensure that all business and risk concerns are appropriately addressed according to BBH standards and that the documents accurately reflect the business deal. This position also assists in determining the need to extend, terminate or renegotiate contracts, as well as with the procedures and projects which support the Vendor Contracts function.

Your responsibilities include :

Research and understand the intended uses and potential risks of the product/service that is being contracted for in order to identify terms and conditions that must be addressed or standards that must be applied and to ensure the terms of the agreement are clear and appropriately protect the Firm.Demonstrate an understanding of contractual terms, conditions, rights and obligations to contracts, be able to interpret and apply that understanding and be able to succinctly explain the effects of such things to the business/contract stakeholder to gain buy-in.Draft proposed language for documents in order to ensure that terms reflect the business deal, meet standards and that risks are mitigated.Make recommendations/decisions and identify creative solutions with respect to contract provisions ensuring that BBH standards are incorporated and risks are mitigated. Effectively negotiate with vendors to reach desirable positions.In each negotiated contract, solve the business need while ensuring that BBH standards are incorporated.Ensure final contract agreements are consistent with the terms reached during negotiation.Assist in the definition of standard processes and language for use in negotiating contracts.Apply defined processes in contract negotiations.Ensure contracts are in compliance with corporate, regulatory and legal requirements and standards.Manage process to ensure that the business sponsor and any appropriate stakeholders have approved the terms in the agreement prior to being presented for execution.Actively participate in the firm's vendor management effort to manage the risk associated with use of third parties that deliver IT services and products to the enterprise such as through identifying the need for establishment of service levels with the vendor or communicating the need for a potential re-negotiation of governing terms as a result of growth/expanded use of a particular vendor.Ensure consistent communications for timely contract execution.Ensure all documents are clear, concise, accurate, timely and appropriately authorized.Protect the financial interest of the firm, through risk analysis and mitigation.Communicate contracted terms and conditions to key stakeholders.Summarize legal documents in a manner that provides clarity and insight into the issues/risks for the reader.Actively participate in process improvement so that contracting processes operate as efficiently as possible.Provide support for the vendor contracts processes and special projects as needed.Desired Qualifications :

Bachelor's degree required.3-5 years of relevant work experience with a focus on negotiating contract documents.Experience in the financial services industry desirable.Knowledge of contract law and technology desirable.Knowledge of compliance regulations in the financial services industry.Ability to manage multiple priorities, while meeting deadlines.Ability to interact with all levels of management.Strong detail and process orientation.Ability to create and maintain moderate to less complex enterprise agreements and vendor relationshipsAbility to create and maintain vendor relationships.Knowledge of the market data environment, hardware, software, maintenance and support requirements.Strong relationship management and negotiation skills.Ability to use standard desktop tools effectively, including Microsoft Office.Strong written and verbal communication skills.

Salary Range

Base salary $90,000 - $110,000 plus annualized incentive

BBH's compensation program includes base salary, discretionary bonuses, and profit-sharing. The anticipated base salary range(s) shown above are only for the indicated location(s) and may differ in other locations due to cost of living and labor considerations. Base salaries may vary based on factors such as skill, experience and qualification for the role.
