Castleton Commodities, an international commodities merchant focused on energy trading and investment, is seeking a dynamic attorney to join its Legal Department with primary responsibility for supporting its physical and financial power and gas marketing and trading activities. The attorney will have responsibility for advising the marketing and trading desks and developing/implementing policies and procedures to promote compliance with applicable regulations.

Responsibilities

This individual will be primarily responsible for the provision of legal support to the US power and gas teams, including:

Acting as primary legal advisor on a variety of commercial matters, includingNegotiating transactions and agreements (e.g., trading agreements, purchase and sale agreements, credit agreements)Assessing regulatory requirementsAdvising on corporate governance matters

Advising on contentious matters and working with outside counsel in connection with matters requiring litigation/dispute resolution procedures; working with the Compliance team in terms of assessing and creating responses to potential administrative or regulatory inquiries and investigations related to areas of support.Advising on legal and regulatory developments relevant to trading and businessesWorking closely with business leaders, in both commercial and support areas and colleagues in the legal team globallyDeveloping and implementing policies and procedures to promote compliance with applicable regulations and company requirements

QualificationsMinimum of 5 -8 years experience as an attorney advising clients in the energy industryExperience in commercial matters involving the trading of energy products and the investment and operation of energy infrastructure assetsDetailed knowledge of US power and gas markets, including experience with negotiating and drafting standard industry trading contracts (ISDAs, NAESBs, EEIs, AMAs, etc.).Knowledge of laws and regulations applicable to trading of physical and financially settled energy commodities and derivatives thereof (including financial transmission rights), including FERC and CFTC and practices associated therewith (knowledge of NERC, ISO rules a plus)Experience supporting other types of energy commodity trading (crude oil, distillates, LNG, etc.) is a plusExperience in litigation and arbitration and an understanding of laws relating to and practices associated with creditors' rights a significant plusStrong analytical capabilities, communication skills, ability to work in a fast-paced environment, think on feet and be intellectually agile absolutely essentialAbility to work to tight deadlines and deliver without compromising on detailMust be strategic thinker capable of competently and comfortably advising creative business development team and interacting with senior managementAdmitted to practice law, and in good standing, in the State of New York, Connecticut or Texas, or qualify for the admission into one of these jurisdictions soon after hire.
