Experience with or affinity for technology and/or life sciences companies is considered advantageous.Duties:Conducting due diligence reviews for M&A transactions.Drafting and negotiating transactional documents, including merger agreements, stock purchase agreements, and ancillary documents.Advising clients on corporate governance matters.Assisting with financing transactions related to M&A deals.Collaborating with cross-functional teams including tax, regulatory, and employment counsel.Managing and coordinating closings and post-closing activities.Requirements:Juris Doctor (JD) degree from an accredited law school.Active Bar membership in the jurisdiction of the office location or eligibility to sit for the next Bar exam.3-4 years of experience in M&A transactions at a prominent corporate law firm.Strong understanding of corporate law principles and M&A transactional processes.Excellent drafting, negotiation, and analytical skills.Ability to work effectively in a team environment and manage multiple priorities.Preferred Skills:Experience with technology and/or life sciences sectors.Familiarity with securities laws and regulations.Ability to thrive in a fast-paced and challenging work environment.Benefits Offered:
