Leveraging our team’s expertise in antibody discovery and engineering, we have created a robust pipeline of differentiated investigational therapeutic candidates for well-validated targets.Reporting to the Chief Legal Officer, the Corporate & Securities Counsel will serve as a critical member of the legal team and be responsible for supporting a broad array of legal matters, including management of the Company’s SEC filings and annual meeting, advising on corporate governance, participation in Board management and corporate secretarial work, and other legal matters as required to support Viridian’s business needs. The Counsel is expected to work with both internal and external stakeholders in an effective and collaborative manner with a learning mindset and ability to be a business partner to support Viridian’s legal needs as they evolve and develop.This role is based in our Waltham, MA headquarters. Our office-based employees follow a hybrid in-office schedule. Remote work is allowed, and the frequency is at the discretion of management.Responsibilities

Provide expert advice and support on securities laws, corporate governance, corporate secretarial and general corporate mattersPrepare and manage the Company’s SEC filings, including periodic reports, current reports, proxy statements, Section 16 filings, securities offerings, and other related filingsProvide legal support and guidance with respect to equity plan administration and trading windowsAssist the CLO in staying current on and advising the Board regarding governance-related mattersCollaborate and provide legal guidance on external communications, such as earnings releases, press releases, and investor presentationsCollaborate on business development and financing transactions and legal due diligence activitiesProvide onboarding training and other training on Company-related legal topics as neededProvide support for legal projects as needed, including employment matters, trade compliance, business development, and other legal projectsInteract effectively and cross-functionally with internal business clients at various levels of management and across the CompanyEffectively and efficiently manage outside counsel on a variety of mattersCollaborate effectively and efficiently as a member of Viridian’s internal legal teamRequirements
