Job summary

The Contracts Manager guides TEVET in the administration of all contracts and agreements. The Contract Manager is accountable for managing all aspects of TEVET's contractual agreement(s) on behalf of TEVET and its customers and works in close collaboration with Sales, Operations, and Finance to maintain a thorough knowledge of all aspects of the contracts; modify the contract as needed; educate leadership on TEVET's and the provider's obligations within the overall agreement; report on the status of these obligations; manage issues related to the contract; and assist in interpreting the contract as needed.

The Contract Manager has primary responsibility for negotiating all terms and amendments for contracts. The Contract Manager will assume responsibility for other contractual agreements as designated. In cases where contract terms are in dispute between TEVET and the provider, this role is the subject matter expert advocate for TEVET.

Essential Duties & Responsibilities

Drafting contracts, contract modifications, agreements, memorandums of understanding, terms and conditions, non-disclosure agreements, consulting agreements and other contract related documents.

Acting as primary liaison and point of contact with Customers on formal communications and submittals, and specifically for leading the negotiations for new contracts and contract modifications.

Acting as primary liaison and point of contact with key subcontractors on formal communications and submittals, and specifically for leading the negotiations for new subcontracts and subcontract modifications.

Acting as primary liaison and point of contact for coordination and communication with all departments on contract related issues.

Acting as lead for Compliance and flow down requirements to supporting subcontracts/vendors; including FAR/DFARS review and identification.

Maintaining contract files (e.g., contracts logs, correspondence, modifications).

Assisting in new business pursuits and change management on existing contracts by developing contract strategies and specifically for reviewing solicitations and change requests and assisting in the preparation of proposals, bids, and contract modifications including negotiating same with the Customer and key subcontractors.

Reviewing the adequacy of new bid and change proposals for compliance with all applicable laws, regulations and other requirements and preparing the representations and certifications associated with same prior to submission to the Customer.

Assisting all departments on issues of contract interpretation.

Assisting and in some cases leading the effort on matters of contract dispute resolution including protests, claims and lawsuits.

Analyzing and interpreting contract requirements, special provisions, and terms and conditions to ensure compliance with appropriate laws, regulations, and the Company’s practices, policies, procedures, and guidelines.

Analyzing new laws, small business regulations and contract trends for potential impact on current and future contracts.

Serve as the Company’s Empowered Official, ensuring the Company’s compliance with ITAR and other export control laws, regulations, and record-keeping requirements. Provide guidance to all departments in interpreting export and trade compliance regulations.

Assisting in the development of business alliances and partnering agreements.

Assisting in the identification, development, implementation and maintenance of Contracts Department practices, policies, procedures, and guidelines.

Maintaining a strong understanding of the Company’s overall business strategy and an appreciation of financial/analytical issues and profit and loss implications for contracting activities.

Decision Making Responsibilities

Provides collaborative approach to decisions as the subject matter expert for all items related to the management of contracts and export compliance.

Summarizes and routes documents for approval based on an existing Delegation of Authority matrix.

Spending and Accounting for Funds

There are no direct financial responsibilities.

Work Environment

Work performed in an office environment.

Work with computers and other computer components.

Duties may require being on call periodically and working outside of normal working hours (evenings, holidays, and weekends).

Physical Demands

Required to sit or stand for long periods of time.

Written and verbal communication.

Dexterity of hands and fingers to operate a computer keyboard and mouse.

May require the ability to travel via automobile or airplane.

Qualifications

Education / Experience / Knowledge

Required:

Bachelor’s Degree required; Business Administration (MBA) or Law degree preferred.

A minimum of 5-7 years of experience in contract administration, with extensive knowledge of government contracting regulations.

Strong leadership skills, with the ability to manage complex contractual issues and compliance challenges.

Proficient in Microsoft Office and contract management software.

Preferred:

Experience in the defense or aerospace industries.

CFCM / CPCM or DAWIA Level 3 in Contracting strongly preferred.

Detailed knowledge of US export control regulations strongly preferred.

Professional Experience

Contracts Administration Experience:

At least 5-7 years of experience in contract administration and management, with a focus on government and commercial contracts. The ideal candidate will have demonstrated success in proposal development, drafting contracts and agreements, contract modifications, terms and conditions, contract negotiations, and managing contracts from award to completion.

Government Compliance:

Extensive experience with FAR and DFARS compliance is essential. The ideal candidate will have a proven ability to serve as the domain expert on government regulations. Extensive experience required in analyzing and interpreting contract requirements, export regulations, and terms and conditions to ensure compliance with appropriate laws, regulations, and the Company’s policies and procedures.

Leadership and Collaboration:

Proven ability to serve as a liaison with various internal departments and external stakeholders. Experience working with senior and executive management on compliance and risk-related issues is critical.

Audit and Risk Management:

Experience performing contract risk assessments and formulating mitigation strategies. The candidate should be comfortable working with external and internal auditors, as well as DCMA and third-party consultants.

Abilities / Skills

Must have excellent written and verbal communication skills, organizational skills, negotiating skills and the ability to manage and prioritize tasks using available resources effectively and efficiently.

Must be able to participate in and in many cases lead a team to meet all commitments within a required deadline.

Skilled working collaboratively and productively with customers, key subcontractors, executive staff, and management level personnel from all departments.

Proven experience leading negotiations for new contracts, agreements, and modifications.

Equipment Proficiency

Required:

Must be proficient with the use of standard Microsoft office software (e.g., Word, Excel, PowerPoint, and Outlook) and other generally used business software (e.g., Adobe Acrobat).

Preferred:

Experience with NetSuite.
