JOB FUNCTION / SUMMARY:This position is responsible for coordinating the appropriate and timely review and execution of contracts by working closely with vendors, internal requests and internal support areas such as Information Security, Legal and Insurance. Reviews complex contracts to identify risks and ensure compliance with organizational and regulatory requirements. Assists with assessing and monitoring department compliance and performance by designing tracking and reporting systems and creating reporting for internal and external review.ESSENTIAL DUTIES & RESPONSIBILITIES:Works effectively with the business owner, legal, enterprise project office and procurement teams to ensure the appropriate business and technical requirements, terms and conditions are included in contracts.Builds strong relationships with Information Security, IT, procurement, legal, compliance and other key business units to ensure that risks and issues are appropriately identified and to expedite the appropriate review and execution of a contract.Helps design and implement robust metrics, tracking and reporting systems.Proactively assesses and monitors vendors, uncovering risks and providing resolution or alternatives.Prepares and reviews contract provisions for assigned contracts according to standard language, approved by Legal and vendor management process and procedures. Generates Non-Disclosure Agreements and Letters of Termination as assigned. Enforces vendor management policy and procedures in performing duties associated with job tasks.Researches, reviews and provides information regarding third party vendors in response to audit and management requests.Scans contracts and related documents as needed, for input into the contract database and the contract images' repository.Keeps abreast of regulations and bank policies related to vendor/contract management.Performs other duties as assigned.MINIMUM REQUIRED EDUCATION, EXPERIENCE & KNOWLEDGE:Bachelor's degree required or equivalent combination of education and experience.5+ years of related experience required. Experience in vendor relationship management, contract review and negotiation or legal support preferred.ESSENTIAL MENTAL & PHYSICAL REQUIREMENTS:Ability to work under stress and meet deadlines.Ability to operate related equipment to perform the essential job functions.Ability to read and interpret a document if required to perform the essential job functions.Ability to travel if required to perform the essential job functions.Ability to lift/move/carry approximately 10 pounds if required to perform the essential job functions.
