Serves as in-house counsel on policies, governance, contracts, accreditation, and risk management. Engages and manages external counsel.Essential Functions:Leads, performs, and sources legal work necessary to research, draft, negotiate, and analyze various contracts, policies, and other legal documents and to advise internal clients. (Legal work includes M&A and other corporate transaction documents, real estate leases, property and asset acquisitions, purchasing, joint ventures, managed care, physician services, licenses and other intellectual property agreements, academic affiliations, employment, and financing and bond documentation.) Drafts and reviews contracts, leases, and agreements prior to execution.Engages and serves as liaison with outside counsel as needed.Provides counsel on health care laws including those on privacy, Medicare, Medicaid and other government programs, fraud and abuse, physician self-referral and anti-kickback laws, and EMTALA. Ensures proper reporting to the duly authorized enforcement agencies or the OIG as appropriate or required.Assists with issues concerning corporate governance.Manages general liability and medical malpractice claims and litigation with outside counsel and insurance carriers. Assists in identifying actions that can be taken to minimize organizational risk and liability.Leads efforts to assess and settle claims and litigation.Assists with employment litigation including Worker’s Compensation matters.Assists with real estate transactions.Provides legal guidance and collaborates on medical staff matters, bylaws, patient care with significant medical-legal dimensions, and legal matters related to the provision of care.Provides advice and assistance to physicians and staff concerning patients’ advance directives.Prepare annual report concerning contractual arrangements for patient care services as required forth by the HFAP and CMS.Carries out special projects as assigned.Requirements:Requires an L.L.B. or Doctorate of Jurisprudence; admission to the Ohio Bar; familiarity with contract and employment law regulations, with five years of experience in the practice of healthcare law, corporate law, labor relations, or a closely related field.Five years of experience or a demonstrated knowledge of the service/healthcare industry and human resources management skills.Demonstrated use of high level of organizational skills.Demonstrated ability to exercise attention to detail and appropriate degree of persuasiveness.
