Position SummaryThe Associate General Counsel is an attorney and member of the legal department advising the Bank’s General Counsel, executive team and managers on matters of legal significance to the Bank. The Associate General Counsel is responsible for assisting and facilitating the Bank’s General Counsel in efficiently and effectively meeting the legal needs of the Bank and its internal operations departments, including Credit, Treasury, Human Resources, Marketing, Information Technology, Risk Management and Compliance. The Associate General Counsel, at the direction of the General Counsel, will also manage the Bank’s third-party legal needs and relationships, including outside counsel, and coordinate vendor management and regulatory compliance with the Bank’s Risk Management group. As a senior-level team member, the Associate General Counsel will also assist the General Counsel in executing on the strategic initiatives of the Bank and its holding company, including mergers and acquisitions. This position is an individual contributor role.Primary AccountabilitiesTake primary role in providing legal advice regarding all areas of bank operations.Regularly provide General Counsel with updates on status of all such matters and suggestions for resolution/improvement of Bank’s legal exposure, processes and project outcomes.Interact with various operational departments and business units as principal legal department resource for resolution and advice regarding operational legal issues.Provide day-to-day legal advice and counsel on legal matters or problems involving the Bank's lending programs, including consumer, commercial and residential mortgage.Provides legal advice to, and coordinate with, the Bank’s Risk Management and Compliance personnel.Provides legal counsel to business units in connection with the negotiation and drafting of contracts with Bank customers and vendors.Oversees the intake and processing of legal matters served upon the Bank, including subpoenas, citations to discover assets of borrowers, foreclosures actions against borrowers, etc.Manages threatened or pending lawsuits filed against the Bank. As necessary, retains and manages external law firms to handle litigation matters brought by or against the bank.Assists business units in overseeing all outside law firm budgets / expenditures for routine litigation or transactional matters.Assists with interpretation of changing/novel banking laws and regulations affecting the Bank, upon request of compliance and other departments.Performs all other duties as necessary or assigned to by General Counsel or in support of senior management.Identifies opportunities to manage the Bank’s legal needs more efficiently and to maximize value to customers and shareholders.Collaborates with other departments to direct legal issues to appropriate existing channels for investigation and resolution.The role requires occasional travel for training and team meetings, and willingness to travel periodically, to locations within market as needed.May require work in a Midland office to ensure collaboration and support of internal and external customers.Maintain compliance with all applicable regulations including, but not limited to, the Bank Secrecy Act (BSA).Other duties as assigned.Position QualificationsEducation/Experience:Bachelor’s degree from an accredited college or university on related subject.Law degree from an ABA-accredited law school with strong academic credentials.Licensed to practice law in State of Illinois.
