Manage and oversee a wide variety of corporate transactions related to life sciences companies or investment funds, including IPOs, follow-on offerings, and ATM facilities.Public Offerings:
Handle public capital markets offerings, including initial public offerings (IPOs), follow-on offerings, and at-the-market (ATM) facilities.Private Offerings:
Lead private offerings such as PIPEs (Private Investment in Public Equity), venture capital financings, and other private placements.1934 Act Reporting:
Ensure compliance with 1934 Act reporting requirements, including the preparation and filing of Forms 10-K, 10-Q, and 8-K.M&A Transactions:
Manage public and private company mergers and acquisitions, including structured deals such as earnout-based transactions, product acquisitions, and spin-outs.Client Interaction:
Provide legal advice and support to clients, ensuring their interests are effectively represented in all corporate transactions.Due Diligence:
Conduct thorough due diligence for corporate transactions, identifying potential issues and mitigating risks.Collaboration:
Work closely with clients, colleagues, and external parties to ensure the successful execution of transactions.Document Preparation:
