We are seeking a highly experienced Corporate/M&A/Securities/Finance Transactional Attorney to join our prestigious law firm based in Baltimore, Maryland. This role involves working on complex transactions in a dynamic and fast-paced environment. Essential Duties and Responsibilities:

Advise clients on a wide range of corporate governance, securities, and financial matters.

Structuring, negotiating, and closing high-profile M&A transactions.

Prepare and review documents concerning stock offerings, mergers, and other business dealings.

Conduct comprehensive legal research and analysis in support of client needs and transactional requirements.

Coordinate with other attorneys and teams to manage projects and timelines effectively.

Ensure compliance with state and federal laws and regulations pertinent to client activities.

Actively participate in client meetings and develop strategies to optimize client outcomes.

Minimum Position Qualifications:

JD from an accredited law school and a current member in good standing of the Maryland Bar or eligible for admission on examination or special waiver.

At least 6 years of relevant experience in corporate law, mergers and acquisitions, securities, and finance transactions.

Strong academic credentials reflecting a robust understanding of legal principles applicable to transactional law.

Demonstrated ability to handle complex legal and transactional matters.

Excellent oral and written communication skills, with a keen attention to detail.

Proven track record of managing multiple projects simultaneously while meeting stringent deadlines.

Preferred Qualifications:

Experience in leading negotiations and managing client relations.

Advanced certifications or training in financial law or corporate structured financing.

Prior experience in a top-tier law firm preferred.

Ability to mentor and develop junior attorneys and support staff.

Experience with cross-border transactions; familiarity with international legal standards and practices.

Skills:

High proficiency with legal research tools and databases.

Capability to innovate and drive legal strategies for complex transactions.
