CloudHQ has state-of-the-art data center sites located in two Northern Virginia locations, as well as London, Frankfurt, Paris, Milan, and Sao Paulo, and we anticipate exponential growth over the next several years both in the US and abroad.
We are in search of an exceptional Corporate Attorney to join our legal team. This position reports to our General Counsel and will be based in downtown Washington, DC.
The Corporate Attorney is a skilled real estate attorney who works alongside a seasoned legal team in the provision of a full range of in-house legal services for our international real estate development companies, including drafting, reviewing, and negotiating contracts; collaborating with outside legal counsel; advising on all risk management matters; and communicating with and advising senior and executive management on a broad range of corporate and legal matters.
Position Responsibilities
- Draft and negotiate data center leases and licenses with customers
- Oversee and manage the review and negotiation of loan documents, and manage all facets of closings, for construction and permanent financings
- Draft and negotiate purchase and sale agreements, and manage all facets of closings for the acquisition of real property
- Oversee and manage the preparation of REAs and CC&Rs
- Draft, negotiate, manage and/or review various agreements including:
- easements
- services agreements in connection with the management, maintenance, and operation of data centers
- construction contracts
- architectural and engineering agreements
- services agreements with utility providers
- Advise on all aspects of the development of real property
- Oversee and manage the preparation of operating agreements, corporate articles and bylaws, resolutions, and other company and corporate documents
- Advise on corporate and company structuring matters
- Advise on insurance and all other risk management matters affecting the company
- Draft and negotiate non-disclosure agreements
- Advise on regulatory compliance matters
Requirements
Credentials: JD from accredited law school and admission and good standing with the relevant jurisdiction's bar.
Experience: minimum four years of professional experience gained in the corporate team of a top tier law firm or similar environment. Commercial experience and/or in-house experience preferred but not essential.
Required Knowledge/Skills/Abilities:
- Experience drafting closing documents, leases, and purchase and sale agreements
- Experience with due diligence activities including reviewing title, survey, and zoning reports
- Demonstrated self-motivation, resourcefulness, and ability to operate effectively in a fast-paced environment
- Excellent verbal and written communication skills
- Adaptability, with the ability to manage multiple projects at the same time
- Due to the international nature of the role, ability and willingness to be available and responsive outside of traditional business hours.
- Friendly, helpful, collegiate, independent and proactive team player with an entrepreneurial spirit and great communication skills, able to work effectively under pressure.
