Cloud Capital has raised a global, open-end, data center investment management firm focused on assembling a world-class portfolio of mission critical assets that provide a stable long-term income stream and strategic growth opportunities.With hands-on leadership from Hossein Fateh (Founder and Chief Executive Officer), the experienced Cloud Capital senior leadership team and investment team are spearheading Cloud Capital’s investment strategy and benefits from CloudHQ’s vertically integrated platform.Approximately $4 billion of assets under management in global center data assets are held in our evergreen structure. The general counsel will be responsible for providing legal support for a wide range of transactions in addition to wider legal matters across all facets of the business. Experience required in real estate, acquisition, development, and financing. The environment is more akin to a start-up with the ability to be self-reliant.Principal Duties and Responsibilities:Transaction Management & DeliveryProvide legal support and instruct external counsel on a range of transactions (including multiple transactions at any one time) including real estate acquisition and development, corporate M&A/joint ventures, and debt finance in multiple global jurisdictions primarily in the US and Europe and ongoing support post-acquisition. Cloud Capital’s London based counsel will support European transactions.Provide legal support and instruct external counsel on a wide range of building contracts, consultancy appointments, framework agreements and power supply agreements ensuring compliance with loan requirements.Strategy and relationshipsProvide expert and strategic legal advice to executives, senior management and staff.General Legal SupportGeneral in-house tasks including some employment, potential disputes and ad-hoc contract renewals as examples.External CounselManagement of external advisors including liaising with specialist international legal, finance and tax advisers where appropriate.Governance & ComplianceEnsure high standards of corporate governance, compliance, and risk management required for a registered investment advisor.Requirements

Credentials:

Current member of the State Bar Association.Education:

Juris Doctor from an ABA accredited law schoolExperience:

Minimum ten (10) years of professional experience gained in the corporate team of a top-tier law firm or similar environment. Commercial and/or in-house experience preferred but not essential. Fund experience a plus.Required Knowledge/Skills/Abilities:Strong, up to date, technical legal knowledge in relevant areasSignificant experience of transactional work and processes and requirements from a corporate real estate, real estate finance or corporate M&A/private equity background.Experience supporting construction and development.Effective negotiation and deal making skillsExperience of leadership roles of an in-house legal function or a demonstrable commitment and capability to take on such a role.Possess excellent interpersonal and communication skills. You will need to be down-to-earth and approachable.Be self-motivated with the ability to work autonomously in a fast–paced environment.Have commercial acumen/ ability to assess legal/corporate risk.Willingness to pitch in with any general day-to-day queries.Adaptability, with the ability to manage multiple projects at the same time.Due to the international nature of the role, ability and willingness to be available and responsive outside of traditional business hours.Friendly, helpful, collegial, independent and proactive team player with an entrepreneurial spirit and great communication skills, able to work effectively under pressure.Strong personal integrity and discretion, with exceptional ethical standards
