Recology Service CenterRoleUnder limited general direction, manages corporate governance, corporate filings, service of process, records retention, and other matters related to legal affairs.Essential ResponsibilitiesPrepares and submits corporate entity filings and fees, including annual reports, fictitious business name registrations, and other documents relating to the formation, maintenance and dissolution of corporate entities.Maintains corporate governance records in SharePoint or other cloud-based application, including articles, bylaws, stock certificates, shareholder consents, board minutes, entity org chart, etc.Uploads information and documents into corporate governance tracking software (Mitratech/Secretariat) to keep it current.Assists the Corporate Secretary with other corporate governance matters as requested.Responds to inquiries regarding corporate matters such as entity structure, director and officer tenure, officer titles, entity legal names, dates/states of incorporation, fictitious business names, etc.Prepares secretary's certificates and provides corporate information in connection with applications, filings, responses to RFPs and as otherwise requested.Liaises with outside counsel and internal stakeholders to facilitate litigation holds and record gathering for litigation matters.Assists in managing the records retention program to ensure consistent and compliant practices in the retention, protection and disposition of corporate records.Oversees Salesforce software application (ROGR) used to manage reporting responsibilities to governmental entities, including administrative responsibilities (excluding activating and deactivating licenses), training, modifying records, and reporting on compliance.Serves as focal point for accepting service of process, including logging documents received and forwarding to relevant internal and external stakeholders.Assists counsel in implementing the California Consumer Privacy Act, the Oregon Consumer Privacy Act, and other privacy laws and company policy, including by collecting information, logging privacy requests, interacting with those making requests as needed, updates to the privacy policies, and other related tasks.Leads special projects as they arise.Other duties as assigned.QualificationsAny combination of education and experience that would likely provide the required knowledge, skills and abilities is qualifying. A typical way to qualify is:6 years' experience as a paralegal in an AmLaw 200 law firm, supporting transactional attorneys preferred.High level of professionalism and commitment to ethical behavior.Excellent interpersonal skills and ability to work with a variety of internal clients.Able to effectively prioritize and execute multiple projects with aggressive timing constraints.Excellent verbal and written communication skills and attention to detail.Proficiency with Microsoft Office, Zoom, Adobe.
