What to ExpectTesla is looking for a highly motivated Senior Paralegal to join the International Corporate Legal team. This critical role will support the establishment and maintenance of new legal operations around the world in furtherance of Tesla’s global growth strategies and initiatives. The position will be based in either Austin, Texas or Palo Alto, California, USA and will report directly to Tesla’s Associate General Counsel, International Corporate Legal based in Amsterdam.
The International Corporate Legal team, currently consisting of two attorneys and two paralegals based in Amsterdam and California, is part of the bigger Tesla Legal team with members located in the USA, EMEA and APAC.
What You’ll Do
International Corporate Subsidiary Governance & Maintenance: support compliance with the corporate obligations of all Tesla foreign subsidiaries. Work with local counsel to ensure all affiliates outside the USA are in good standing and comply with all necessary formalities (e.g., board meetings; timely approval and filing of annual accounts)
Prepare and maintain corporate compliance documentation for all Tesla foreign subsidiaries. Draft corporate legal documentation as needed, including but not limited to, board resolutions, intercompany funding agreements and powers of attorney, filing of legal documents as well as obtaining signatures and organizing and maintaining drafts and executed copies in our internal document management system
Maintain and update our legal entity org chart and providing abbreviated and/or certified versions for third parties
Assist with the formation of new legal entities, granting of signing authorities (Powers of Attorney), changes to the board of directors, registered address changes, and the development and execution of detailed step plans to establish legal entities and operations in new markets within EMEA, APAC and Americas
Support completing M&A transactions, New Ventures and Entity Integration and Rationalization
Coordinate with cross-functional teams & key contacts around the globe
Work alongside the other members of the International Corporate Legal team, and provide an efficient and comprehensive corporate legal administration and support service for the Associate General Counsel, which also includes to (i) carry out word processing and data inputting duties as required, producing and recording information, filing and photocopying, (ii) assist with arrangements for meetings and information events, make room bookings, record minutes and follow-up on notes, and (iii) maintain records including correspondence, attendance, and other records specific to the corporate legal work of the Team
What You’ll Bring
Completed or ongoing legal studies (Bachelor’s degree, paralegal certificate or law degree), with minimum of 5 years corporate legal experience, including corporate housekeeping and corporate tasks, with law firm and/or corporate legal department
Collegial and enthusiastic self-starter who is fluent in English, has strong verbal and written communication skills, can handle multiple projects with competing priorities with minimal supervision, is eager to be part of a team, decisive and displays maturity in judgment
Exceptional organizational skills and ability to prioritize your time and deadlines accordingly
Ability to work within a complex and constantly changing, fast-paced, demanding work environment, to build and maintain positive working relationships with internal business functions around the globe as well as external advisors

Expected Compensation:
$72,000 - $150,000/annual salary + cash and stock awards + benefits. Pay offered may vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience. The total compensation package for this position may also include other elements dependent on the position offered. Details of participation in these benefit plans will be provided if an employee receives an offer of employment.
