PositionMIO’s Legal team seeks an Assistant General Counsel to assist with the negotiation and management of trading relationships, including documentation such as prime brokerage, ISDA, FCM, GMRA, and MRA agreements used by MIO’s separate account platform, and banking and financial relationships across MIO’s business lines. The Assistant General Counsel will report to MIO’s Deputy General Counsel.Primary responsibilitiesMaintain familiarity with regulation of private funds in the US and EU, including Dodd-Frank, EMIR/MIFID, and SEC and CFTC regulationsLearn and implement MIO’s negotiation priorities and model terms for trading and financial relationshipsDelegate to and liaise with external counsel to
review drafts from counterparties based on internal precedents, MIO model terms, and/or industry form documentationprepare issue lists for internal stakeholdersprovide feedback and comments to counterparties
Track the status of negotiationsManage and maintain the documentation associated with the onboarding of new sub-advisers to existing trading relationshipsReview responses to KYC/AML requests prepared by paralegals or external counselDesired backgroundAt least three years of experience at a law firm, dealer, or buy-side institution reviewing and drafting documentation for prime brokerage, over-the-counter and cleared derivatives, listed futures and options, and securities lending and repurchase transactionsBasic knowledge and understanding of legal entity types and regulatory requirements in the private fund and pension fund asset management industry, including SEC & CFTC regulation, Dodd-Frank Act, EMIR, MIFID, and ERISAFamiliarity with ISDA protocolsProficient in software applications used to draft and review contracts, including Microsoft Word and its track changes and compare tools and other redlining/comparison softwareOwnership mentality to see matters through to completion or resolutionHigh level of attention to detail and a dedication to producing error-free workExcellent verbal and written communication skillsSalary and BenefitsA reasonable estimate of the salary range for this role in the United States is $175,000-$175,000. Actual salaries may vary based on various factors, including an individual’s assigned office location, experience, and expertise. Certain roles are also eligible for bonuses, subject to MIO’s discretion and based on factors such as individual and/or organizational performance.
