Senior Counsel, Corporate
San Jose, CA / HybridOur client, a publicly held global semiconductor company, is looking for a highly motivated attorney to join a growing corporate legal team focusing on US and international corporate law, SEC disclosure, ESG matters, and equity compensation. This role may also involve M&A, enterprise risk, insider trading, and compliance. The day-to-day work for this position requires collaboration with colleagues worldwide and excellent time management skills to prioritize workloads in a fast-paced environment.Based in San Jose, California, this position will report to the Head of US Corporate, and will have exposure to senior business leaders throughout the organization. This role will advise on legal risk, business strategy, and other issues, drawing on your domain expertise. The successful candidate will be a collaborative, problem-solving attorney with exceptional business judgment, creativity, persuasive writing capabilities, high emotional intelligence, and a knack for working independently. The ideal candidate will also be able to handle a variety of projects simultaneously working with cross-functional teams across the organization.Responsibilities:Assist with U.S. public company matters, such as preparing and reviewing SEC and Nasdaq filings, earnings preparation, and capital market transactionsAssist with the public company secretarial function, including preparing materials for the Board, Board committees, and other governance mattersSupport internal audit and SOX complianceAssist the Sustainability team on ESG reporting and disclosuresSupport the People and Reward team on equity award matters including grant and vesting proceduresSupport M&A activitiesResearch legal issues related to SEC reporting, corporate governance, ESG, M&A, or other programsSupport the drafting of company policies, practices, and processesIdentify and inform appropriate stakeholders of business and legal risksSupport other Legal team members, including those related to issues outside of corporate securities and governanceFacilitate cross-functional relationships and decision-making among the Legal team and other internal business teamsManage outside counsel and other external partnersRequirements:JD degree from an accredited law school with excellent credentials with a minimum of three years relevant experience with a top-tier U.S. law firm in handling sophisticated corporate securities matters, corporate governance, and M&A transactions, preferably involving technology companiesAbility to work at pace and deal effectively with individuals at various levels of experience while building strong and positive relationships based on mutual trust to proactively impact outcomesDemonstrate a positive demeanor in embracing challenges by gaining insight from team experiences and being receptive to feedbackSupport the success of others and actively provide feedback and support for their developmentListen and explore alternative perspectives before carefully crafting work that will deliver impactful resultsNice To Haves:1934 Act expertise and knowledge of corporate finance, transactions, and governance mattersAn active member in good standing with the California barIn-house experience is a plusCompensation:The salary range for this position in the U.S. is $205,000 to $260,000 base + equity.Kerwin builds diverse legal and compliance teams for the most transformative organizations, from tech-focused startups seeking rapid growth to established industry disruptors.
