With our North American operations quickly growing, we are currently looking for a Senior Legal Counsel, in the Chicago area, with a proven track record in international projects, to join our global legal team. This position reports directly to the General Counsel in The Netherlands.
About the Role
The Senior Legal Counsel assists the business with advice on all legal matters that arise within NewCold’s operations, with a focus on corporate and commercial contracting.The incumbent will be involved in and will advise on a broad range of local and international business, commercial and legal issues. The person in this role must be able to prepare, review and negotiate company contracts, requests for proposals, and other legal documents.Role and Responsibility
Provide counsel on a wide range of legal matters, coordinate with internal and external legal experts, advise on a variety of commercial transactions, and guard against potential legal risks that the company may face.
Support in managing the corporate structure of NewCold in the U.S. and Canada. Advise senior management regarding compliance with all laws, regulations, and rules applicable to NewCold.
Act as liaison between NewCold North America and NewCold Headquarters in Breda, Netherlands and our external legal vendors on a wide range of topics.
Research laws, including court decisions and legislation, and provide guidance on legal risks related to corporate business.
Work in tandem with Business Development and Operations to support commercial contracting and anticipate any unique issues that may arise.
Work on contract and real estate transactions and construction, supplier and vendor contracts as well as a broad range of matters related to warehouse development and operations.
Manage a paralegal who supports the legal department and the business.
Collaborate and work with other teams such as Treasury and the Tax team.
Manage external legal firms and/or counsels.
Education and ExperienceMinimum 10 years of experience.Minimum 2 years of experience working in an international capacity.Juris Doctorate degree with top academic credentials.Must be licensed to practice in Illinois or able to obtain a license to practice law in Illinois.Exceptional drafting skills with proven experience drafting complex documents to support construction and real-estate transactions.Extensive knowledge of and practical experience working on contract law and contract negotiations, preferably including financing and merger and acquisition transactions.Minimum 5 years of experience in one or more of the following areas; Real estate, technology, IT and/or the construction sector.Strong oral and written communication skills.Strong employee relations and ability to communicate cross-culturally.
Competencies and SkillsStrong understanding of the legal aspects of commercial matters.Experience working in an international work environment and in diversified teams.Ability to deal with rapidly changing conditions and the creativity to come up with solutions for problems that may arise during your projects.Ability to manage upwards, keeping team members informed about important issues, and present clearly and precisely to stakeholders, enabling others to understand the key facts and issues.
