Corporate Paralegal - Remote (Dallas/Fort Worth)

Position Summary
Caris is looking for a highly skilled and motivated Corporate Paralegal to join an expanding legal team and play an integral part in supporting fast-paced company growth. This role is crucial in supporting our corporate governance and paralegal needs as well as assisting with certain legal operations. The Corporate Paralegal will have a key role in supporting our corporate legal operations and enhancing the efficiency and effectiveness of the legal department. The ideal candidate should be detail-oriented, motivated, have effective time and project management skills, have an orientation towards building and enhancing processes and be willing and able to build cross-functional relationships within the organization.
Job Responsibilities :Assist with corporate governance matters, including preparing and maintaining corporate records, minute books, resolutions, subsidiary filings, etc.
Assist with securities filings and corporate compliance.
Facilitate board and committee meetings, including compilation and distribution of meeting materials through electronic portal (Diligent).
Facilitate information needed for various insurance policy applications and claims.
Support legal billing operations.
Process and maintain organization of key department information and files.
Assist in the review and processing of various legal documents, including non-disclosure agreements.
Support due diligence efforts, including virtual data rooms for corporate transactions and financing activities.
Develop and implement processes to improve the efficiency of the legal department.
Liaising with external counsel, auditors and internal departments on legal matters.
Required Qualifications
Role will be remote but must be local to DFW metroplex.
Bachelor's degree.
Paralegal certification.
Minimum of 5 years of experience in a corporate paralegal role.
Understanding of legal processes and corporate governance, including corporate entity management and compliance such as annual report filings.
High level of integrity and confidentiality.
Excellent organizational, analytical, and problem-solving skills.
Proficiency with Microsoft Office including collaboration tools (SharePoint, OneDrive, Teams, etc.) and PDF tools.
Preferred Qualifications
Proficiency with legal technology tools and software such as signature software (e.g. DocuSign), Board portals, billing software, knowledge management and legal entity management software.
Exposure to corporate transaction processes such as financing, M&A, capital markets and/or real estate transactions.
Experience in a corporate legal department.
Experience with SEC filings such as Form 4's, 10-K/Q's and proxy statements as well as equity awards.
Experience, or interest, in the life sciences, biotech and/or healthcare industry.
Physical Demands
Must possess ability to sit and/or stand for long periods of time. Must possess ability to perform repetitive motion.
Ability to lift 25 pounds.
Majority of work is performed in a desk/cubicle environment.

All job specific, safety, and compliance training are assigned based on the job functions associated with this employee.
