This individual will work closely with the Senior Legal Counsel and Legal Associate on all legal and regulatory matters related to the Cerity Partners OCIO platform. The role includes partnering with internal teams including Operations, Compliance, Client Services, and Investments. This position requires the ability to anticipate needs, think critically, and offer solutions to problems with a high level of professionalism and confidentiality. This role will be responsible for a broad variety of tasks related to the day-to-day operation of the legal department.
The position will be located at our Denver office. This will be a hybrid position working at least 3 days a week in the office with the option for remote work up to 2 days a week.
Essential Duties and Responsibilities
include the following. Other duties may be assigned to meet business needs:Assist with managing active pipeline of manager funding and participate in weekly investment organizational meetings with multiple Cerity Partners OCIO departments.Assist Senior Legal Counsel and team with all legal aspects of client on-boarding, including review of legacy investment legal documents and coordination of on-boarding processes with the Client Services, Operations, and Portfolio Management teams.Draft and distribute summaries of investments to clients' attorneys, as needed, and respond to questions.Assist Senior legal Counsel and team in developing and maintaining desktop procedures for the Legal department.Manage review and execution of amendments to fund limited partnership agreements.Assist Operations team with submission of investment subscription documents and executed legal documents to investment managers.Organize and maintain manager and client folders and manage all documentation with understanding of terms, including maintaining templates of legal documents, such as side letters and investment management agreements.Liaise with Cerity Partners LLC legal team on corporate matters.Assist with review of RFPs and marketing material, with responsibility for conveying revisions to Client Services.Manage review and execution of non-disclosure agreements with potential managers, including negotiation of agreement terms with managers.Assume ownership of various ad-hoc projects and assist Senior Legal Counsel, Legal Associate, and Compliance Director as needed to implement legal and compliance programs.Ideal Candidate Profile
Bachelor's degree and paralegal certificate preferred3-7 years of work experience in investment management industry required, with work in the alternative investments management industry preferredProficiency in Microsoft Office (MS Outlook, Word, Excel and PowerPoint)Experience drafting legal documents preferredAbility to multi-task and manage competing priorities effectively while meeting deadlinesStrong organizational skills and exceptional detail-orientation; work product is accurate and completed on a timely basisAbility to work independently as well as within a team; self-starterStrong work ethic and eager to learn in a highly intellectual, fast-paced environmentAbility to handle highly confidential information appropriatelyOutstanding written and verbal communications skillsIntuitive sense of honesty and highest ethical standards
