The corporate law firm of Kennedy Sutherland LLP is seeking a talented legal assistant or paralegal for its team in San Antonio, Texas. The firm's practice is corporate, banking, finance, and securities related and will involve direct support of the attorneys on clients' legal matters. The candidate will primarily work with the team on real estate and lending transactions but will also have the opportunity to assist with such other matters as the formation of business entities, tax credit financings, mergers and acquisitions, securities offerings, and numerous general business and regulatory matters.

Responsibilities :

Assist through all stages of the lending process, including performing lien searches, UCC filings, reviewing credit memos, preparing initial sets of loan documents, managing closing checklists, and handling closing processAssessing and preparing contracts, lease agreements, and closing documentsCompile, assess, and review due diligence for transactionsAbility to draft various legal documents - with a proactive approach to redlining, spellcheck, and grammatical correctnessAbility to stay organized while managing multiple matters and competing deadlinesConduct legal research and other correspondence as assignedAssist with new client intake process, including preparation of engagement lettersPrepare, edit, and review legal documentsAnswer mainline telephone callsManage the firm's website, client alerts, and social mediaAttend events, conferences, and other meetings on behalf of the firmAssist with scheduling and monitoring deadlinesMonitor office supplies, drinks, and snacksOther clerical tasks as necessaryCore Competencies:

Accomplishments:

3+ years of prior corporate and securities paralegal experience (in either a law firm or corporation).Bachelor's Degree and/or Paralegal Certificate is a plus.Proficiency handling commercial lending transactions, including loan documentation and diligence process, is preferred.Significant and recent experience with M&A transaction closings and Texas corporate law.Significant and recent experience with securities transaction closings (federal and state securities law, including Form D and blue sky).
