Job Description
The Corporate Development Analyst position is pivotal in supporting our inorganic (merger and acquisition) activities, corporate strategic planning, and value creation plan (VCP) activities by providing critical inputs and insights to drive strategic decision-making and business growth. This high-visibility role will collaborate across the entirety of the organization in the fulfillment of merger and acquisition (M&A) and strategic projects. This role will be active in the full lifecycle of M&A activities and include target sourcing, financial modeling, due diligence, valuation, strategic analysis, documentation of recommendations, and integration activities.
The Corporate Development Analyst has the passion, maturity and aptitude to positively impact the strategic direction and results of the Company.
Key Deliverables:
Build sophisticated financial models including thought leadership for projections, synergies and economic inputs
Create Board- and executive-level financial and operational discussion materials
Track and report acquisition and integration processes from start through completion
Develop actionable insights from strategic analysis of companies and industries
Responsibilities:
Deal Sourcing and Market Research:
Identify potential acquisition targets by researching and analyzing industry trends, market conditions, competitive landscapes and strategic operational capabilities to pinpoint companies that align with Inframark’s strategic goals.
Financial Analysis, Modeling and Valuation:
Critically review financial statements to deliver informed operational and financial insights regarding a potential target’s financial health. Constructively build financial models utilizing sound business judgement for inputs and assumptions. Identify, document and incorporate revenue and expense synergies within financial analysis. Utilize current methodologies to develop and recommend appropriate valuations and structures for potential acquisitions.
Due Diligence & Integration Planning Support:
Support the entirety of the due diligence process by collaborating with internal teams and external advisors to ensure the target company is thoroughly vetted, potential risks and opportunities are identified and findings are documented to support sound investment decision marking. Support internal teams with planning and documentation of integration plans to ensure a smooth transition of the target into Inframark and delivery of expected results.
Preparation of Presentations and Reports:
Prepare concise reports, presentations, and investment memoranda for internal stakeholders (executives, divisional personnel) and external stakeholders (Board of Directors, investors, banks) which distill complex information into clear, actionable insights and recommendations.
Closing Activities:
Support internal review of transaction documentation (Purchase Agreements, Disclosure Schedules, Funds Flow).
Post-Transaction Integration Support:
Support post-closing integration activities to ensure expected outcomes are achieved on-time.
Strategic Planning
Assist with development of strategic plans and business cases for new ventures, including detailed financial models and scenario analysis.
Project Development Support:
Collaborate with cross-functional teams to support the development and execution of projects, from inception to execution, implementation, and integration.
Ideal Candidate Experience:
2+ years of investment banking, corporate development and/or transaction advisory services
Experience in leading process management for multiple acquisition and integration processes simultaneously
Demonstrated success in consistently producing timely and highly predictable financial models
Ability to translate financial and operational data into actionable insights
Strong verbal and written skills
Proficiency in Microsoft Excel, PowerPoint, and financial analysis tools required.
Strong preference for experience in a large, multi-market, multi-service company
