Responsibilities
Provide legal support and guidance for a wide range of commercial transactions (U.S. and international), including the drafting, reviewing, negotiating and arranging execution of sales agreements, master services agreements, procurement agreements, licensing agreements, real estate leases, confidentiality agreements, and other related agreements.
Provide legal support and guidance on matters relating to corporate finance, treasury, and securities including drafting, reviewing, negotiating, and arranging execution of credit agreements, equity and debt offerings, and mergers and acquisitions.
Assist the General Counsel on matters relating to public company matters including the preparation and review of the Company's corporate and disclosure reports, financial statements, securities filings (e.g., Form 10-Q, Form 8-K, and Form DEF 14A filings), and press releases.
Assist the General Counsel on matters relating to corporate governance matters including management of corporate organizational documents (including articles of incorporation, bylaws, formation agreements, foreign state qualifications, and good standing certificates).
Assist the General Counsel on matters relating to the Board of Directors including Board meetings, distribution of Board meeting presentation materials, and maintenance of online Board portal.
Provide legal support and guidance on compliance matters including implementation and administration of corporate compliance policies (including Code of Business Conduct and Ethics and Insider Trading Policy) and compliance training.
Provide legal support and guidance on contract approval, execution, and management procedures and contract repository and corporate legal records.
Provide legal support and guidance on legal forms and contract templates database.
Provide legal support and guidance on documentation, registrations, permits, certifications, and filings required by various governmental and other regulatory authorities.
Provide legal support and guidance on matters relating to employment and labor issues including the hiring, retention, compensation, discipline, termination, and severance of employees.
Assist the General Counsel on supervision and management of outside legal counsel relating to significant legal matters.
Assist the General Counsel on matters relating to litigation, claims and disputes, and governmental investigations.
Collaboratively work with company management and key internal stakeholders across the Company to support the business and operations.
Knowledge, Skills, and Abilities
Should be detail-oriented with excellent legal judgment, strong organizational skills, and exceptional verbal and written communication skills (including analysis, interpretation, and reasoning).
Should be able to identify problems and provide creative and thoughtful solutions in a business-oriented, diplomatic, approachable, and practical manner.
Should be self-motivated, work proactively and efficiently, and be able to follow through on assigned tasks through completion.
Should be able to work well both independently and within a team in a fast-paced, constantly evolving, and deadline-oriented environment.
Should be able to work well under pressure, manage multiple priorities, and quickly respond to change.

High degree of proficiency in Microsoft Office Suite, Outlook and Internet applications.
Education and Experience
Juris Doctor degree required.
Member in good standing of State Bar of Pennsylvania, or able to obtain out-of-state attorney in-house status in Pennsylvania.
Minimum of 10 years total experience.
Minimum of 4 years of large law firm and/or in-house experience required with general corporate, securities, and commercial transactions experience.
TravelOvernight/North America Travel: 10-25%
Working ConditionsOffice Environment - Must be able to remain in a stationary position 50% of the time and occasionally move about inside the office to access file cabinets, office machinery, etc. Required to have close visual acuity to perform an activity such as preparing and analyzing data and figures; transcribing; viewing a computer terminal; extensive reading. May be required to exert up to 25 pounds of force occasionally to lift, carry, push, pull or otherwise move objects, including the human body.
