Applied Materials' Corporate Controller's team is looking for an experienced professional for the position of Finance Analyst IV, Mergers & Acquisitions. This role will report to the Finance Senior Director of Mergers & Acquisitions, Investments and Revenue. This role will be responsible for participating in financial due diligence, deal negotiation and integration/separation activities for acquisitions/joint ventures/divestitures, including liaising with Corporate and Business Unit functions, accounting for transactions properly and preparing related technical memos, financial statement preparation and related audit coordination. Your primary responsibility will be to support the M&A team including providing expert-level accounting consultations and financial analysis support to M&A, Business Units, and Corporate functions regarding acquisitions, joint ventures, divestitures and minority investment accounting.
Our ideal candidate is a top performer who can manage multiple projects on a real-time basis and has demonstrated the ability to identify and resolve deal and integration challenges. Experience working in a matrix organization a plus and strong customer relationship skills required. This role provides excellent exposure to understand our company's business models, finance, and accounting processes throughout the acquisition, divestiture and investment processes.
Key Responsibilities
Coordinate and participate in the financial due diligence process for both buy-side and sell-side transactions
Review deal related documents and assist in deal negotiations
Manage valuation service providers/liaison with external consultants, such as financial and accounting professionals
Provide technical accounting advice for the company by researching, resolving and documenting accounting issues related to acquisitions, divestitures, minority investments, joint ventures or other transactions
Understand and propose any adjustments to the balance sheet and income statement impacting changes resulting from compliance with company policies and US GAAP
Assist with SEC & acquisition-related filings including pro forma financial statements
Develop Finance integration plans, including timelines to record opening balance sheets for acquisitions
Oversee the preparation and recording of opening balance sheets or carve-out financial statements/disposals
Collaborate with Business Units, Regional Finance and Corporate Accounting to map the opening balance sheet and income statement in SAP
Assist BU's in understanding acquisition-related accounting and costs to include in their forecast
Develop valuation recommendations using most up to date valuation methodologies and accounting guidance.
Work with the M&A team to drive and support process improvement projects for valuation and accounting related processes
Assess the impact of new and proposed M&A or equity investment accounting pronouncements and standards to ensure compliance with SEC and US GAAP reporting requirements
Job Specific Knowledge
M&A related experience
Strong US GAAP and relevant technical accounting knowledge (e.g., revenue recognition, inventory reserves, investments, joint ventures, consolidation, purchase accounting)
Experience auditing and/or working in the high-tech industry/manufacturing
Experience in leading cross-functional teams
Solid understanding of valuation techniques related to target companies, intangible and tangible assets, and employee-related liabilities
Education & Qualifications
Minimum: BS in Finance, Business, or other related fields, and 8-10+ years of relevant experience.
Bachelors degree in Accounting or Finance
5+ years M&A and purchase accounting experience
CPA certification
Strong quantitative and qualitative analytical ability
Excellent oral, written communication, and interpersonal skills
Proven track record of working with cross-functional business leaders to achieve challenging objectives
Ability to quickly establish rapport and gain the trust of project stakeholders
Ability to act as financial advisor to various stakeholders
Ability to work independently in ambiguous situations and take the necessary steps to validate assumptions
Excels at working as part of a team and collaborating with colleagues
