The role will report to the VP of Corporate Development and will be responsible for supporting the Corporate Development team in executing our strategic imperatives via acquisitions, divestitures, joint ventures, and equity investments. The Senior Director will lead various aspects of the M&A process, including valuing, structuring, project managing due diligence, and negotiating definitive agreements.Xylem is enhancing its Corporate Development team to help Xylem deliver on its in-organic growth ambition, deploying capital, and continuing Xylem’s reputation for having a world-class Corporate Development and M&A deal execution team. Xylem has completed over 20 acquisitions deploying $9.5B since it became public in 2011, while at the same time divesting over 10 businesses/product lines. Xylem is extremely well capitalized and well positioned with the ambition to drive strategic growth and portfolio enhancements via acquisitions, joint ventures, equity investments, and divestitures.Position Responsibilities:
Partner with the strategy and business development teams to identify, evaluate, and prioritize new strategic growth opportunities that fit within Xylem’s strategic markets including investments and/or joint ventures.Act as “deal quarterback” simultaneously advising and driving deal teams of subject matter experts from corporate and the business units and functions to complete required work and reach investment recommendations.Provide leadership through the M&A/divestiture process, across Xylem segments and across all geographies applying “hands-on” skills in valuation, deal structure, integration, modeling/analytics, and project management.Develop and manage a robust due-diligence process focused on commercial, operational, legal, financial, and human capital elements with clear recommendations on value creation, investment, and ownership risks.Develop and cultivate relationships with investment bankers, sell/buy side advisors, and corporate development leads within the water industry to facilitate transactions and promote Xylem as a leader in M&A and the water space.Lead the analysis, preparation, and recommendations for strategic investments, acquisitions, and divestitures including the development of strategic rationale, testing, and verification of value creation hypothesis.Partner with Xylem legal to negotiate acquisition and divestiture term sheets and definitive agreements.Guide the business teams through the internal approval process.Accountable for empowering, developing, and engaging direct and indirect reports/project teams to build a high-performance team.Prepare supporting presentations for Senior Leadership Team and Board of Directors describing the transactions, valuation, due diligence findings, and key contract terms.Provide training and direction to personnel within Corporate Development, strategy, and other business functions that support M&A.Professional Experience/Requirements:
10+ years of corporate development or relevant experience, including at a publicly traded company.Transaction Lifecycle experience with project management, valuation, due diligence, contract negotiation, and integration planning.Demonstrated experience with global, cross-border M&A activities and different deal types, including significant experience with complex carve-outs.Strong communication skills, including ability to present to senior levels.Industrial and technology experience preferred.Additional language skills a plus.Education, Preferred:
Master’s Degree (MBA) and/or Professional Certifications (CPA, CFA)Location:
