The Corporate Legal Counsel (CLC) role is responsible for overseeing all legal and risk management matters within the firm. This role requires a deep understanding of federal, state, and international laws, as well as expertise in managing corporate legal matters, compliance, and risk associated with client and employee relations. The CLC will provide strategic guidance, consultation, and support on a comprehensive range of legal and regulatory issues, ensuring the firm's operations are legally compliant and aligned with business objectives.Responsibilities:
Legal Matters Oversight:
Act as the primary contact for handling non-party subpoenas, managing the process from start to finish.Consult with partners and management on all firm legal matters. Collaborate with outside counsel as needed.
Professional Liability and Risk Management:
Lead the renewal process of the firm's professional liability insurance, ensuring adequate coverage and favorable policy terms.
Firm/Corporate Agreements:
Maintain and update the firm’s legal documents, ensuring all are current and comply with the latest laws and regulations.
Engagement Letter Management:
Oversee and update annual engagement letters.Review and approve changes to engagement letters, ensuring they are legally sound and comply with regulatory requirements.Work with our insurance provider to ensure we are mitigating risk by presenting appropriate terms to our clients.
Legal Document Review:
Review, draft, and negotiate various legal documents, including NDAs, vendor agreements, and other contracts.Ensure all documents are in compliance with applicable laws and regulations.
Client Onboarding and Continuance:
Oversee client onboarding processes, ensuring risk management protocols are followed.Review and assess client engagements to identify and mitigate potential risks.
Data Privacy Compliance:
Stay informed on data privacy laws (federal, state, international) and ensure firm-wide compliance.Implement and monitor data privacy practices, including compliance with HIPAA and GDPR requirements.
Acquisition and Real Estate Management:
Conduct legal due diligence during acquisitions and manage the creation and negotiation of buy-sell agreements. Collaborate with outside counsel as necessary.Oversee all real estate matters, including the review, creation, and negotiation of new lease agreements.
Regulatory Compliance and Pay Transparency:
Keep the firm informed on state and federal pay transparency laws and advise HR accordingly.Provide legal advice on employee disciplinary matters in collaboration with HR.
Risk Management Committee:
Actively participate as a member of the firm’s Risk Management Committee.Maintain and update the firm’s Risk Register, ensuring all identified risks are documented and addressed.
Internal Audits:
Conduct internal audits of personnel files, engagement letters, and firm policies to ensure compliance with legal and regulatory requirements.
RFP Legal Review:
Review and provide legal guidance on Request for Proposal (RFP) responses to ensure all legal considerations are met.
Requirements/Qualifications:
Juris Doctor (JD) degreeActive membership in the state barA minimum of 6 years of experience in a senior legal role, preferably within a corporate or professional services environmentExpertise in contract law, regulatory compliance, data privacy laws (including HIPAA) and risk managementStrong leadership and communication skills, with the ability to influence and collaborate across all levels of the organizationHigh ethical standards, with a strong commitment to legal and regulatory complianceAbility to manage multiple priorities and deadlinesExceptional organizational skills with attention to detailStrategic thinking and problem-solving skillsWe are an equal opportunity employer.
