Job DescriptionAllied Universal is hiring a Vice President, Corporate Counsel - Contracts. The Vice President, Corporate Counsel - Contracts is a vital part of the Legal Services Group and various lines of business within the organization. The Vice President will manage and oversee a phenomenal team of legal professionals, be part of a collaborative legal team and will operate out of the organization's Eastern corporate headquarters in Conshohocken, PA and report to the EVP - General Counsel, North America.
RESPONSIBILITIES:
Commercial Transactions
Draft, review, interpret, and negotiate various contracts and other legal documents focusing on customer and vendor contracts for various business lines.
Participate in and/or lead negotiations related to contractual terms and conditions.
Review and develop Allied Universal contract templates in the various lines of business.
Implementation and maintenance of policies, procedures and protocols to enhance the effectiveness, efficiency and consistency of executing commercial transactions.
Support the organization's mergers and acquisitions goals and objectives.
Regulatory
Develop and implement internal process improvements to ensure and promote compliance with laws, regulations, and company policies; focus on regulations pertaining to the North America lines of business and specific emphasis on the security industry.
Identify potential areas of regulatory vulnerability and risk; develop and implement action plans for resolution of problematic issues; and provide general guidance on how to avoid or address similar situations in the future.
Develop and deliver employee training on various compliance and regulatory matters and provide regular updates on regulatory developments to relevant organizational leaders.
Develop strategic responses to various complex issues that arise through a client and/or vendor relationship that might involve regulatory requirements or contractual provisions.
Independently develop and drive large-scale projects, such as but not limited to, policy rollouts, stakeholder communication and cadence, engagement, and advocate for best practices.
Leadership
Successfully lead and develop team members (including record of full-time management duties of other attorneys serving as candidate's direct reports), as well as balance and successfully execute and complete individual matters.
QUALIFICATIONS (MUST HAVE):
Law degree from an accredited law school.
Minimum of six (6) years of experience as a regulatory and transactional lawyer in a large corporate law firm.
Minimum of three (3) years of in-house legal experience.
Proven record of independent oversight of major large-scale corporate/cross-functional projects.
Experience in federal, state and local government contracting and international transactions.
Ability to support business leaders on international contracting and manage/create efficient contract and compliance processes using available technology.
Advanced oral and written communication skills.
Ability to interface and communicate effectively with a large number of diverse internal groups, including all levels of employees, in-house legal counsel, external legal counsel, customers, regulatory officials, consultants and vendors.
Ability to successfully conceptualize, communicate, plan, promote/influence, implement, and manage numerous project initiatives at one time.
Strong organizational, analytical and drafting skills, including attention to detail and a self-driven problem-solving mindset.
Ability to demonstrate integrity, strong work ethic, and maintain a high level of discretion.
Ability to drive deliverables and influence both internal and external customers in a team setting.
PREFERRED QUALIFICATIONS (NICE TO HAVE):
Strong background in licensing, data privacy, and data security.
