We are seeking an experienced Corporate In-House Counsel to join our legal team. As a key member of our organization, you will provide legal advice, guidance, and support related to reinsurance transactions and other corporate matters.Responsibilities:Reinsurance Transactions: Negotiate and draft a wide range of reinsurance transactions, including life/annuity reinsurance agreements.Legal Compliance: Stay informed about new laws, regulations, and caselaw impacting the insurance and reinsurance industry. Provide advice and counsel to internal stakeholders on legal implications.Risk Mitigation: Identify and mitigate legal risks associated with reinsurance contracts, ensuring compliance with industry standards and best practices.Contract Review: Review and analyze reinsurance contracts, identifying key terms, conditions, and potential risks.Collaboration: Work closely with internal business units, external counsel, and other stakeholders to address legal issues and achieve business objectives.Supervision: Oversee outside counsel when necessary, ensuring effective legal representation.Corporate Governance: Assist with corporate governance matters, including board meetings, regulatory compliance, and corporate policies.Qualifications:Juris Doctor (JD) Degree: Must be a licensed attorney in the state of New York.Experience: At least 5 years of legal experience, with a focus on reinsurance transactions.Industry Knowledge: Strong understanding of the insurance and reinsurance industry, including relevant laws and regulations.Negotiation Skills: Proven ability to negotiate complex reinsurance agreements.Analytical Thinking: Ability to analyze legal issues, assess risks, and provide practical solutions.Collaborative Approach: Excellent communication skills and the ability to work effectively with cross-functional teams.Adaptability: Comfortable working in a dynamic and fast-paced environment.Compensation: Competitive salary and benefits package commensurate with experience.
