We strive to be excellent in everything we do, and to continuously build knowledge and learn beyond our current skillsets.Join Our TeamYou will be our Corporate Counsel, Securities & Strategic Transactions and a key member of our legal department supporting the Group Corporate and Securities function. You will report to the Associate General Counsel, Securities & Corporate Governance.Your responsibilities will include the following:Assist with the drafting, preparation and filing of the proxy statement, periodic and current reports, maintenance of related forms and templates, and project and stakeholder management.Prepare and file Section 16 reports and assist in administration of SiriusPoint’s insider trading policy and related procedures.Support the execution of M&A, capital markets transactions and strategic partnerships, including due diligence, confidentiality memos and the set-up and maintenance of virtual data rooms.Draft intercompany agreements and handle select subsidiary governance matters.Conduct legal research and analysis.Liaise with stock plan administrator and transfer agent to manage equity issuances, beneficial ownership records, and Rule 144 transfers.Support the timely drafting and distribution of board and committee calendars, agendas, minutes, written consents and preparation of presentation materials and committee reports.Support the preparation of sustainability reports and presentations in coordination with internal stakeholders, consultants and vendors.Maintain key corporate documents in accordance with records retention guidelines.Manage select strategic legal operations projects autonomously as needed.Handle sensitive and confidential communications and records with a high level of discretion and diplomacy.Be proactive and facilitate collaborative communication among internal and external stakeholders.Occasional travel.Required Education, Skills and ExperienceQualified candidates will have a JD from an accredited U.S. law school and an excellent undergraduate and law school academic record, and Bar admission in New York or active bar license in another state.Your skills and experience will include the following:At least 3 years’ experience as a corporate associate at a large law firm with a sophisticated capital markets and M&A practice, preferably for clients in the insurance or financial services sector.In-house legal experience, including expertise in using Wdesk, is highly preferred.Demonstrated ability to collaborate closely with diverse, globally dispersed senior executives and board members.Exceptional attention to detail, reliability, curiosity and ability to learn new technology quickly.Excellent client service skills and ability to work on multiple matters simultaneously in an organized manner and under minimal supervision.Flexible and able to respond quickly and positively to shifting demands.Experience with working autonomously and efficiently under tight deadlines in a global, fast-paced environment that may require you to quickly pivot between priorities and creatively problem-solve.Excellent organizational, written, verbal and presentation skills.Cross-functional project management experience with expertise in coordinating internally and externally with various key stakeholders to advance initiatives and drive timely outcomes.A valued professional and team player with a positive attitude, high integrity, intellectual curiosity, enthusiasm, strong collaboration, communication and problem-solving skills.Willingness and demonstrated ability to embrace ambiguity and help lead the establishment and streamlining of corporate legal processes, and partner effectively and constructively with all stakeholders across the organization.SALARY:
The estimated salary range for this position is $151,600 to $194,500. This is a good-faith assessment of the salary range for this position only.
