Essential Functions and Primary Duties
Working directly with team members across our organization and our clients to develop comprehensive solutions to complex transactional challenges as well as post-merger planning opportunities.
Leveraging tax technical knowledge to lead engagement teams in performing buy- and sell-side due diligence and developing tax-efficient acquisition and divestiture structures.
Conducting, developing, overseeing and reviewing tax due diligence, tax structuring and tax modeling workstreams including but not limited to identification and mitigation of relevant historical and projected tax risks, tax-advantage structuring, optimizing and preserving valuable tax attributes, mitigating tax costs related to cancellation of indebtedness income and worthless stock deduction analysis, conducting Section 382 and transaction cost analyses.
Managing the resolution of technical tax issues dealing with consolidated returns, S Corporations, partnerships, and limited liability companies.
Identifying and analyzing tax risks and opportunities while advising both strategic and private equity buyers and sellers on alternative tax strategies for the acquisition, disposition, and restructuring of businesses.
Lead the comprehensive review and analysis of all legal documents related to M&A transactions, including but not limited to, purchase agreements, contracts, and financial arrangements.
Recognize opportunities to grow and expand our tax services.
Work collaboratively with TAS leadership, PEA sponsor coverage, and practice area leaders to support new client pitches.
Support the development of cross-functional marketing materials.
Expanding tax research skills through deep exploration of complex technical tax issues across a broad spectrum of tax law.
Teaching, guiding, and coaching team members across our organization.
Working within our current deliverable framework to support conclusions and highlight key risks.
Creating tax financial analysis models.
Maximizing client relationships by introducing value-enhancing ideas and strategies.
Leveraging personal networks in the business community and across Private Equity channels to identify new sales and service opportunities.
Contributing to marketing and business development efforts.
Supporting practice development initiatives.
Preferred Qualifications
12+ years of tax advisory experience or a combination of audit, tax, and financial due diligence experience with a top tier firm.
Bachelor’s degree in accounting.
CPA, Masters in Taxation or JD/LLM.
Strong desire to be a part of and contribute to the growth of a high performing client focused team.
Knowledge of a broad range of corporate tax matters in various industries.
Proven ability to articulate complex information when providing crucial negotiation insights.
Excellent written and verbal communication skills, including strong email etiquette.
Proven track-record of success in high pressure, time-constrained environments.
Top-tier organizational skills and attention to detail.
Self-starter and entrepreneurial nature.
Minimum Qualifications Required
Bachelor’s degree required; Master’s degree preferred in Accounting, Taxation or related field.
10 years of experience in public accounting or related field.
10 years supervisory experience.
Must have active CPA or equivalent certification.
Ability to manage deadlines, work on multiple assignments and prioritize each assignment as necessary.
Proficient use of applicable technology.
Demonstrated ability to communicate verbally and in writing throughout all levels of organization, both internally and externally.
Proven high level of business integrity, client service and leadership skills.
Must be able to travel based on client and business needs.
The annual salary target for this job in this market is $300,000-$550,000. The specific compensation for this role will be determined based on the education, experience, and skill set of the individual selected for this position.
