Job description:
We are looking for a strong self-starter, detail-oriented, experienced, and hard-working Contracts and Legal Operations Manager with a strong focus in commercial contracts. This role reports directly to the CFO. The ideal candidate will have strong communication, customer service, and organizational skills, with a strong proficiency in legal review of commercial contracts. The ideal candidate for this role will thrive in a fast-paced, start-up environment and be comfortable with independently executing assigned tasks.
Essential Functions & Responsibilities:
Manage contract renewals and amendments: Oversee and optimize the renewal and amendment process to maintain strong customer relationships.
Support the sales team by negotiating and redlining a large volume of SaaS contracts (MSA and Sales Orders) for new and existing customers.
Function as a liaison for contract life cycle management and departmental coordination primarily with Customer Success Managers.
Legal liaison to other departments and outside legal firms as needed, relaying and exchanging information with others including sales team members, Information Security team members, customers, insurance broker, and other organizations or counterparties.
Participate in meetings with sales and procurement professionals, representing our business interests and advocating in a professional manner.
Maintain a searchable repository of all executed contracts.
Summarize complex contractual issues, develop creative solutions, and coordinate contractual risk mitigation.
Implement streamlined contract processes (review, escalation & execution) for use by Sales Teams.
Create visibility into contract status, legal risks, and liabilities associated with different deals.
Train Sales Teams on sales templates (uses/contents/key business terms/non-starters/escalation paths).
Draft Demand Letters and support collections related issues with the accounts receivable team.
Negotiate/coordinate domestic/international operations (i.e., subcontracting/compliance).
Represent the company in external negotiations to a diverse set of customers.
Support the contract administration process from inception to completion.
Analyze and review contract requirements, terms, and conditions for compliance with laws and regulations including GDPR and CCPA.
Partner with other internal functional disciplines related to contracts and legal matters.
Other duties as assigned.
Minimum Qualifications:
Expertise in drafting and negotiating a wide variety of commercial, licensing, and other technology-related agreements.
Previous experience creating and implementing business processes to make legal operations more efficient.
Experience creating contract negotiation playbooks and other tools to standardize contract negotiations.
Proactive, dynamic, and result-driven individual with strong attention to detail.
Outstanding interpersonal skills, the ability to interface effectively with all business functions throughout the organization.
Enthusiasm and "self-starter" qualities enabling him or her to manage responsibilities with an appropriate sense of urgency; the ability to function effectively and efficiently in a fast-paced & dynamic environment.
Superior analytical ability, project management experience, and communication skills.
Ability to manage internal customer priorities and needs.
Able to be flexible with time zone coverage for employees across the US and Europe.
4-year college degree in a related field.
Must have at least 5 years of experience drafting, reviewing, and negotiating complex SaaS agreements and a variety of other client and supplier agreements (such as software licensing agreements, EULAs, support agreements, partner agreements, and vendor agreements) at a growth-stage technology company.
JD or paralegal certificate is preferred but not required.
Background/experience with modern data privacy laws and frameworks is a plus.
Previous experience working on contracts with international counterparties is a plus.

This is a remote position.
Compensation:
The base salary for this role is $70,000-$85,000. Please note that our salary ranges are based on current market data and the offered compensation may vary based on experience, skills, location, and other factors permitted by law.
