TVG-Medulla, LLC (“Medulla”), where our goal is to foster the growth of healthcare organizations that provide high-quality, evidence-based musculoskeletal care, enabling them to serve and enrich the lives of a growing population of patients, is in immediate need of a Staff Attorney.Overview:Medulla currently provides support and services to three comprehensive chiropractic care brands, Chiro One Wellness Centers, MyoCore Personalized Pain Care, and CORE Health Centers, all industry leaders in evidence-based, patient outcomes-centered care.As the largest privately-owned chiropractic organization in the country, with clinics under management in multiple states and a rapidly expanding footprint, Medulla provides management resources to these organizations with full-scale experienced teams of professionals and specialists including marketing, clinical operations, legal, revenue cycle, human resources, IT, real estate, facilities maintenance and more.ResponsibilitiesPhysician Employment Agreements - Drafting and negotiating template D.C. Employment Agreements, amendments (whether from electronic database or by request), and employment documentation for other eventual chiropractors, such as specialists, independent contractors and consultants.Administration of insurance policy additions and deletions as liaison to update professional liability, general liability, property/casualty and vehicle insurers.Professional liability insurance administration - Provide timely and accurate notifications to professional liability insurer of additions or removals of D.C.s to or from policy.New entity creations - Secretary of State entity formations, UCC-1 filings, drafting Operating Agreements, obtaining IRS FEINs, state operating licenses and business licenses as needed.Regular and timely Secretary of State maintenance report filings for legal entities.Legal entity administration, records maintenance and updating.Practice management documents - Preparation of all practice management agreement templates for managed companies.Provide assistance in M & A, including written legal due diligence assessments and post-closing deliverable schedule preparation, monitoring and completion.Provide assistance in litigation and pre-litigation matters as needed.General research projects.Keep appropriate staff updated in advance on significant industry developments impacting the company.Provide support and assistance to the General Counsel, Associate General Counsel.Support executive leadership on ad hoc projects and initiatives.Other legal work as assigned consistent with job duties, experience and company needs.What You Will Need To Be SuccessfulMature judgment, attention to detail and ability to handle sensitive and confidential information.Self-starter with initiative, able to work independently with minimal supervision, and make good recommendations based on factual information.Strong ability to manage multiple assignments simultaneously, prioritize properly, meet deadlines, handle ambiguity, and quickly pivot from one situation or task to another.Flexibility to work long hours as necessary to meet deadlines or for project completion.Excellent verbal and written communication skills to effectively work with various departments and levels within Medulla (including senior management) and cross functional teams, including HR/Recruiting, Clinical Operations, and Finance.Strong ability to gather relevant information, problem-solve and trouble-shoot.Experience with interacting at senior levels with business management, professional customers and stakeholders.Strong ability to listen and provide appropriate responses.Adept at working in a fast-paced, high activity environment across multiple states.Excellent online legal research capabilities.Education, License & Certifications, Work ExperienceLicense to practice law in the State of Illinois; licensure in other states would be a plus.1-3 years or more of both in-house and law firm practice in general corporate and business operations, vendor contracts, and litigation.Prior practice in different diverse business environments and industries preferred.Knowledge and experience in for-profit healthcare (especially regulatory/administrative matters, such as HIPAA and the corporate practice of medicine) is strongly preferred.DisclaimerAll team members agree to consistently support compliance and TVG-Medulla, LLC policies and Standards of Excellence with regard to maintaining the privacy and confidentiality of information, protecting the assets of the organization, acting with ethics and integrity, reporting non-compliance, adhering to applicable federal, state and local laws and regulations, accreditation and licenser requirements (if applicable), and Medulla procedures and protocols.
