Salaried, exempt (Administrative/Professional)SUMMARY DESCRIPTION:The successful candidate will support and help manage the legal aspects of Gridworks’ rapidly growing business designing and building turnkey utility-scale solar and battery storage projects. This position will initially support the subcontracting and procurement efforts required to deliver productive, efficient, and reliable projects. At the same time, the Corporate Counsel will become familiar with Gridworks’ EPC prime contracts, negotiation with project owners and developers, and the project finance implications for Gridworks.This position will partner with the General Counsel, Deputy General Counsel and executive leadership to shape the company’s legal strategy and build a legal foundation allowing Gridworks to meet its mission to foster a sustainable clean-energy future. As needed, the role will also support other areas of Gridworks’ business, including employment, insurance, performance security, governance, real estate, and other challenges faced by a rapidly growing company.CORPORATE COUNSEL RESPONSIBILITIES:Essential Duties:Work with Gridworks project management to negotiate subcontracts for materials, services, and turnkey solutions to allow Gridworks to meet its EPC contract obligations efficiently, reliably, and within acceptable risk parameters.Manage flow-downs from Gridworks’ prime EPC contracts into Gridworks’ subcontracts.Work with Gridworks’ Procurement team to standardize supply agreements across projects and vendors to the extent practicable.Partner with General Counsel, Deputy General Counsel and outside counsel to understand core issues, negotiation points, contracts, and risks to negotiate, draft, and execute EPC contracts and related subcontracts.Understand project-level and tax equity financing and structures utilized by project developers and owners and act as an internal resource for Gridworks personnel on such issues.Work with Gridworks’ finance team to ensure contract terms, bonding, and cash flow requirements are reflected in Gridworks’ prime contracts and subcontracts.Support related business models within the company as needed, including asset management, O&M, residential, community, and light commercial renewable projects.Develop and implement best practices, systems, and controls impacting the legal function and recommend improvements and change management strategies.Identify areas of risk and advise Gridworks’ project and executive leadership on risk allocation and mitigation strategies.Provide counsel on other legal issues as needed, such as analyzing disputes, real estate matters, employment, contractor licensing requirements, environmental and permitting issues, due diligence requests, insurance and banking relationships, and others as needed.Stay abreast of developments affecting the renewable energy industry with particular emphasis on possible impacts to Gridworks’ business and help evaluate related risks and opportunities.Bring a positive, energetic, problem-solving attitude to our team.Partner with commercial decision-makers by seeking joint responsibility and accountability for the team’s decisions. REQUIREMENTS (KNOWLEDGE, SKILLS, AND ABILITIES):JD from an accredited law school.Current license to practice law in a U.S. state.Minimum of 5 years of relevant experience (e.g., renewable energy, finance, construction, general commercial/transactional work).Strong interest in renewable energy; prior experience preferred but not required.Possess effective drafting, negotiating and client communication skills to: (a) identify complex legal issues, (b) develop and implement alternative solutions, (c) negotiate independently and (d) cope with fast-paced and ever-changing relationships.Problem-solver with pragmatic approach to address legal issues hand-in-hand with commercial objectives.Possess effective time management, project management, and interpersonal skills.Creative, adaptable, and independent thinker.Strong team player.Ability to focus, direct and manage the efforts of external legal and other resources.Quality and execution focused – seeks out opportunities to accelerate resolution of key project and internal obstacles.
