You will report directly to our Director, M&A Tax and you will work out of our Skokie, IL or Northville, MI location on a hybrid work schedule.In this role, you will impact the company's financial success by providing expert tax advice and guidance on M&A transactions. You will work closely with cross-functional teams to identify tax risks and opportunities, develop tax-efficient structures, and ensure compliance with applicable tax laws. Your expertise in M&A tax will be crucial in navigating the complexities of tax implications in mergers, acquisitions, and divestitures.Essential Responsibilities:Facilitate and coordinate tax due diligence processes for potential M&A transactions, evaluating tax compliance, business models and transfer pricing, tax exposures, and value creation opportunities.Provide strategic tax advice and support in structuring M&A transactions to achieve optimal tax efficiency and mitigate tax risks.Collaborate with legal, financial, and corporate development teams to develop and implement tax-efficient transaction structures aligned with business objectives.
Review and negotiate tax-related terms in M&A transaction documents, including purchase agreements, tax indemnification provisions, and representations and warranties.Collaborate closely with legal counsel to ensure tax considerations are appropriately addressed in transaction agreements and contracts.
Partner with integration teams to facilitate the seamless integration of acquired companies from a tax perspective.Oversee tax compliance requirements related to M&A transactions, including tax reporting, filings, and disclosures.Monitor changes in tax laws and regulations affecting M&A transactions and advise on potential impacts to the company.
Basic Qualifications:10+ years tax experience in public accounting or in a highly complex multinational environment required.Expertise in federal, international and state tax is requiredMust possess a detailed technical comprehension of tax law in addition to accounting, business and economic principles and procedures within a complex multinational legal structureExcellent communication (verbal and written) and financial analysis skills required to convey the tax impacts of complex technical issues to nontax stakeholders.The ability to integrate strategic business objectives with overall tax strategies.Strong training and people development skills.Project management skills required.

Educational Requirements:CPAMasters of Taxation degree preferred.
