Provide legal services in connection with securities law matters, including structuring and execution of cross border capital markets transactions. Represent companies and investment banks in a wide array of corporate finance transactions, including bank loans, notes offerings (investment grade and high yield), initial public offerings and restructurings, as well as on acquisition financings and other general corporate matters. Advise in connection with acquisition financings; negotiate the financing for corporate acquisitions and conduct legal review and due diligence of financing matters of potential acquisition companies. Draft, review and negotiate prospectuses, registration statements, offering memorandums, underwriting agreements, legal opinions, comfort letters, closing documents and other documentation for securities offerings as well as credit agreements and engagement letters with investment banks. Lead diligence calls with companies and investment banks for purposes of conducting diligence exercises. Supervise other attorneys and legal assistants in due diligence review of companies (including private portfolio companies of private equity sponsors); review public filings, corporate organizational documents and U.S. and foreign legal documents for purpose of conducting diligence exercise. Draft security agreements and review of legal issues arising from the granting of security interests in the collateral and the providing of financing in the context of secured debt offerings.Requires Juris Doctor or Master of Laws degree, or foreign equivalent. Must have three years of experience representing companies and investment banks in a wide array of corporate finance transactions, including in the areas of debt financings, (including bank loans, notes offerings, acquisition financings, initial public offerings and restructurings) and other general corporate matters. Experience must include: negotiation of prospectuses, offering memoranda, underwriting agreements, note purchase agreements, note indentures, security agreements, credit agreements and commitment papers; due diligence and advisory legal services in connection with debt financing, capital markets transactions and other corporate restructuring matters, including reviewing public filings, corporate organizational documents and U.S. and foreign legal documents for purpose of conducting diligence exercise; and presenting financial statements in the prospectus or offering memoranda, including pro forma financial statements in the context of acquisition financings and negotiating comfort letters with auditors in the context of securities offerings. Must be licensed to practice law in New York. Occasional domestic US travel required for client or negotiation meetings.
