SUMMARYThe Senior Corporate Governance Paralegal performs a variety of Legal Department duties including, but not limited to, drafting documents for review, revising corporate policies, revising and maintaining template forms, maintaining legal files (electronic and paper), assisting with governance and corporate tasks, conducting legal research, maintaining legal matters, document and billing databases, and writing reports. Works with highly confidential and/or complex material. Interacts with other internal/external customers who include senior executives, outside law firm attorneys, paralegals and personnel, consultants, etc.STATUS: Full TimeLOCATION: 1360 Portland AvenueDEPARTMENT: Office of the CounselSCHEDULE: Weekdays; 8am-4:30pm, flexibility requiredATTRIBUTES

Associate Degree in Paralegal Studies or certification by an institution approved by the American Bar Association is required (Bachelor's degree is preferred)Excellent communication and organization abilitiesStrong research and report-generating skillsAbility to work independently and in a collaborative team environmentStrong analytical skills

RESPONSIBILITIES

General Responsibilities. Processing and triaging incoming correspondence and exercising judgment with respect to urgency, confidentiality, and relative importance. Maintaining and filing corporate records. Coordinating and receiving board and committee signatures for documents and materials. Creating documents related to new corporate entity formations. Providing support for documents and activities related to corporate restructurings, such as mergers, formations, and dissolutions. Working with other members of the legal team on special projects and initiatives. Assist with the non-physician contract review process, including planning, collaboration, negotiation, and execution. Assisting in conducting legal research. Drafting and managing litigation holds; initiation of document preservation and collection; assisting with discovery; coordination of Subpoena's served upon the Corporation. Obtaining due diligence materials. Maintaining electronic/computer databases, paper files, and records, retrieves information as necessary and may create financial, statistical, narrative, and/or other reports as requested. Coordinating performance of legal services by outside counsel and communicating directly with same. Communicating directly with local, state, and federal elected officials regarding matters of interest to RRH. Communicating with and providing support to RRH Board members, including preparing agendas for board meetings, uploading all necessary documentation to the portal in advance of board meetings and drafting minutes of meetings.

Labor and Employment. Liaise with various State and Federal Agencies as point of contact for coordination of responses regarding employment charges/complaints, Department of Labor Claims, Office of Professional Medical Conduct Investigations, Attorney General Inquiries, etc. Serve as point of contact between outside counsel, internal point-person and agency. Maintain claims tracking system and dashboard. Assist with internal investigations; schedule depositions and interviews. Assist with Preparation of "Legal Update" document which provides leadership a synopsis of recent or impending State & Federal labor law changes. Draft NDA's, Consulting Agreements and Executive Separation Agreements.

Corporate Governance, Corporate Compliance. Review disclosures for all Key Persons and Board Director's throughout the System; identify Related Party Transactions for review by the Audit & Compliance Committee. Prepare and e-file corporate documents with the NYS Department of Health, NYS Division of Corporations, NYS Department of Labor, U.S. Bureau of Economic Analysis (BEA), and IRS. Act as liaison to the health System's Board of Directors and various corresponding Board Committees. Oversee Affiliate Hospital, Nursing Home, Home Care, Laboratory, Ambulatory Surgery, Pharmacy, and Child Care Boards (60+ entities). Prepare and manage the planning, preparation, and review calendar for each meeting cycle. Prepare Board and Committee meeting agendas, notices of meetings, meeting materials, memorandums, whitepapers, resolutions, consents, communications and minutes. Draft, edit, and revise presentations for Executive Leadership and Board Directors. Manage the organization and posting of Board and Committee meeting materials using Boardvantage. Develop Governance Work and Education Plans in conjunction with Chief of Staff to include Board orientation manual, onboarding process and Board Member Job Descriptions. Facilitate implementation of various Board Assessments with The Governance Institute. Maintain Board competency matrix. Manage user licenses and all Team Groups and Spaces in Boardvantage; provide training to new Admins; manage all distribution lists

General Business. Prepare Discharges of Mortgage. Coordinate renewals of Service Marks. Post Harm Reports to Boardvantage on behalf of Quality team. Coordinate all Court Ordered HIM Subpoena's to HIM team.

Jobs are sedentary if walking and standing are required only occasionally and all other sedentary criteria are met.PAY RANGE: $80,000.00 - $120,000.00The listed base pay range is a good faith representation of current potential base pay for successful applicants. It may be modified in the future.
