Location: Sunnyvale (or Boston/Pittsburgh)Full-TimeJob Summary:
The Executive Compensation Director will be responsible for designing, implementing, and managing executive compensation and equity programs that align with our corporate goals and support our total rewards strategy. This role requires a strategic thinker with a deep understanding of compensation frameworks, compliance requirements, and the nuances of equity compensation.Key Responsibilities:
Strategic Program Design:
Design and implement comprehensive executive compensation strategies that align with the company’s goals, culture, and growth trajectory in preparation for a future IPO.Develop, implement and analyze programs for executives and other top key positions, including long-term and short-term incentive plans, executive benefit plans, financial and tax treatment of compensation programs, and proxy disclosures and analysis.Market Analysis:
Conduct competitive analysis and benchmarking to ensure our compensation packages are competitive within the industry and aligned with our business objectives.Compliance Management:
Ensure all executive compensation practices comply with relevant regulations and guidelines, including SEC regulations and reporting, IRS guidelines and proxy disclosures.Manage all relevant day-to-day agency and vendor relationships.Stakeholder Collaboration:
Work closely with HR, finance, legal, and executive leadership to ensure alignment of compensation strategies with overall business objectives.Equity and Incentive Programs:
Assist with the design of equity compensation programs, including performance incentives, bonus structures to ensure alignment with shareholder interests.Lead reporting and analysis of company-wide equity compensation program including ownership of reporting on program overhang, dilution, burn-rates, anticipated annual spend, and quarterly spend for new hires.Data Analysis and Reporting:
Utilize analytics to provide insights into compensation practices, trends, and their impact on business outcomes; prepare reports and recommendations for executive leadership and the Compensation Committee.Conduct preparation of compensation data for proxy disclosure and compensation committee meetings.Develop data on NEO compensation to be included in tables in the Compensation Discussion and Analysis (CD&A) of the proxy statement.Communication and Education:
Develop clear communication strategies for executives regarding their compensation packages, performance metrics, and overall compensation philosophy.Market Trends:
Stay updated on industry trends and best practices in executive compensation to ensure our programs remain competitive and effective.Qualifications:
Bachelor’s degree in Finance, Human Resources, Business Administration, or related field; MBA or advanced degree preferred.8+ years of experience in executive compensation, with a focus on publicly traded companies or those preparing for an IPO.Extensive knowledge of compensation regulations, market practices, and equity compensation frameworks.Proven track record in strategic executive compensation planning and program implementation.Clear, concise and effective oral and written communication skills are critical to success in this role.Exceptional communication and presentation skills, with experience engaging with executive leadership and Board members.Strong analytical, quantitative and collaboration skills, with the ability to translate complex data into actionable strategies.Why Proofpoint
