Compensation is competitive and primarily driven by business origination, with further opportunities for contributions across the firm.Key Responsibilities:
Lead and develop the firm’s Transactional Corporate and Securities practice, advising clients on a broad range of corporate matters including mergers, acquisitions, joint ventures, corporate governance, and regulatory compliance.Manage a portfolio of clients with a minimum of $600,000 in portable business, with a focus on expanding client relationships and generating new business opportunities.Counsel financial institutions, investment managers, and hedge funds on compliance with securities regulations, including the Investment Advisers Act, the Investment Company Act, and other regulatory frameworks.Provide expert guidance on capital markets transactions, including private placements, public offerings, and other securities transactions.Lead due diligence processes, draft transactional documents, and negotiate complex deal terms for M&A transactions.Work collaboratively with the firm’s other practice areas to provide integrated legal solutions that address clients’ multifaceted legal needs.Supervise and mentor junior attorneys, ensuring the consistent delivery of high-quality legal services and supporting their professional growth.Participate actively in business development, leveraging professional networks, industry events, and marketing strategies to attract new clients and grow the firm’s corporate practice.Contribute to the firm’s diversity and inclusion initiatives by fostering a culturally rich and inclusive work environment.Requirements:
A minimum of 8 years of experience in transactional corporate and securities law, with significant experience in M&A, corporate governance, and financial institution regulation.Proven success in business development, with a portable book of business generating at least $600,000 annually.Extensive experience advising investment managers, hedge funds, and financial institutions on regulatory compliance and transactional matters.Strong negotiation skills with the ability to structure and manage complex corporate deals, including acquisitions, mergers, and joint ventures.Excellent interpersonal and leadership skills, with the ability to supervise junior attorneys and work collaboratively across practice groups.Comprehensive understanding of corporate law, securities regulation, and the regulatory environment impacting financial institutions and investment management.Education and Certifications:
Juris Doctor (J.D.) from an accredited law school.Admission to the New York State Bar (or eligibility for reciprocity).Additional certifications in securities regulation, corporate governance, or financial services compliance are a plus but not required.Desired Skills:
