Experience with or affinity for technology and/or life sciences companies is considered advantageous.Duties:Conducting due diligence for M&A transactions, including reviewing corporate documents and financials.Drafting and negotiating transactional documents such as merger agreements, stock purchase agreements, and ancillary agreements.Advising clients on corporate governance matters and regulatory compliance.Assisting with financing transactions related to M&A deals, including debt and equity financing.Collaborating with cross-functional teams including tax, regulatory, and employment attorneys.Managing and coordinating closings and post-closing activities for transactions.Requirements:Juris Doctor (JD) degree from an accredited law school.Active Bar membership in California or eligibility to sit for the next California Bar exam.3-4 years of experience in mergers and acquisitions at a top-tier corporate law firm.Strong knowledge of corporate law principles and M&A transactional processes.Excellent drafting, negotiation, and analytical skills.Ability to work effectively in a team environment and manage multiple projects under tight deadlines.Preferred Skills:Experience working with technology and/or life sciences companies.Familiarity with securities laws and regulations.Strong business acumen and client management skills.Benefits Offered:
