Working closely with the Corporate Secretary, the Assistant Corporate Secretary will manage the coordination, facilitation and recording of the activities of the Board of Directors and Board Committees and compliance with legal and regulatory requirements. The Assistant Corporate Secretary will have a robust background in corporate governance, regulatory compliance, and board affairs, ideally within the banking sector.Key ResponsibilitiesBe part of a team handling logistics and associated activities to ensure effective and timely operations of Webster’s Boards of Directors and Board Committees including, but not limited to: scheduling meetings; developing comprehensive agendas; gathering, reviewing and posting board meeting-related materials; attending board meetings; and playing a pivotal role in drafting and reviewing meeting minutes and resolutions.Create and ensure accurate maintenance of Board-related corporate records; act as a primary contact for Board-related corporate information; initiate, contribute to, and file certain Board-related filings with the SEC, NYSE, and OCC; manage the production of corporate governance records for regulatory examination, audit purposes or other due diligence initiatives if/as needed.Pre-clear Section 16 filers (Officers and Directors) for transactions in Webster securities and ensure timely reporting of all filings with the SEC.Manage Director attendance reporting and ensure Directors are compensated accurately and timely.Prepare, execute and deliver Secretary’s Certificates.Prepare, deliver and review D&O Questionnaires and Board assessments.Coordinate Annual Stockholder Meeting and filing/distribution of Proxy Statement.Assist individual Directors with technology needs and document requests; track Director education.Execute, support and coordinate governance-related operations and projects as assigned by the General Counsel/Corporate Secretary.Monitor compliance with all regulatory requirements pertaining to corporate governance, ensuring timely filings and submissions to regulatory agencies.Conduct regular reviews of governance documents, such as bylaws and committee charters, and propose updates as needed to reflect changing regulations and best practices.Collaborate with board committee liaisons to ensure a holistic approach to governance and compliance issues.Stay abreast of developments in governance trends, regulations, and compliance requirements in the banking sector, providing insights and recommendations to the board and senior management.Requirements5+ years of in-house corporate secretary or corporate governance experience at a public company; experience working for a Bank Holding Company is a significant plus.Strong knowledge of corporate governance practices, banking regulations, and compliance frameworks.Proficiency with Microsoft Office, PowerPoint and Diligent (or similar Board portal).Excellent initiative, judgment, analytical and problem-solving skills.Ability to deliver consistent and superior customer service and product quality.Excellent written and verbal communication skills.Exceptional organizational skills, with close attention to detail and ability to balance multiple workflows.High level of integrity and professionalism in handling confidential information.Ability to work independently and thrive in team environment.Skilled at identifying issues that require escalation and managing the escalation process to completion.JD preferred but not required.The estimated base salary range for this position is $170,000 USD to $200,000 USD. Actual salary may vary up or down depending on job-related factors which may include knowledge, skills, experience, and location.
