As the
Government Contracts Attorney , you will be responsible for legal assignments including government contracts, subcontracts and other counterparty relationships, software licensing, labor and employment, litigation, corporate governance, ethics and compliance, and international regulatory and transactional compliance.ESSENTIAL JOB FUNCTIONS:Provide guidance to corporate management and project management on general legal matters.Provide guidance on all matters related to federal government contracts, to include advice on FAR, DFAR and agency level supplemental regulations, as well as the formation, performance, administration and completion of such contracts.Manage state and foreign government contracts, as well as commercial arrangements, requests, and miscellaneous other agreements in accordance with IAP policies.Provide legal expertise on matters to include the formation and administration of subsidiaries, joint ventures and partnerships.Provide counsel to Contract and Global Supply Chain, including, the preparation and drafting of commercial terms and conditions.Provide advice and counsel to Human Resources for all state, federal and local regulations, union matters, employment litigation, workforce reduction, and Department of Labor (DOL, OFCCP and EEO), as required.Provide counsel in business development matters, including the review and negotiation of strategic alliance agreements, teaming agreements, joint ventures, and other business relationships, both domestic and international.Required knowledge of ethics and compliance (FCPA, ITAR and FCA), government compliance (DCMA, DCAA, DOJ), and related investigations.Legal review, preparing and overseeing proposal language for compliance, and assisting with negotiation for bid and proposals to ensure the Company interests are protected.Provide legal review and counsel in support of all aspects of litigation, bid protests, arbitration and mediation, including negotiation and resolution of disputes.Interact with outside counsel as directed to engage, review and manage activities and report outcomes.Ability to effectively communicate and present both verbally and in writing to senior management and executives.EDUCATION & EXPERIENCE:J.D. degree required.4 to 8 years of experience, preferably with government contracting experience as well as commercial companies.Is a member in good standing of a Bar of any state, and eligible to be admitted as a member of Florida or Virginia Bar (Authorized House Counsel, Virginia House Counsel).KNOWLEDGE & SKILLS:Substantive knowledge of federal government contracts law, including the FAR and associated statutes and regulations.Familiarity with the UK MoD, NATO, and other government procurement procedures, is a benefit.Knowledge and experience in international law (Europe, the Middle East and Africa), including foreign business registrations.Knowledge and experience with the ITAR, EAR and OFAC, including import/export.Possess intellectual curiosity, excellent written and verbal communications skills and ability to apply experience and reliable judgment to legal matters in a fast-paced business.Self-starter able to handle multiple legal matters simultaneously who enjoys an ever-changing variety of day-to-day legal and business issues.TRAVEL:
Ability to travel domestically and internationally – up to 25%SECURITY CLEARANCE: Able to obtain/maintain Top Secret clearance
