Reporting to the Senior Corporate Counsel, the Associate Commercial Counsel will have a diverse role that will include drafting and negotiating a variety of commercial technology agreements. The successful candidate will work closely with our Sales, Security, and Revenue Operations Teams. This role is fast-paced and there is a lot of opportunity to collaborate with others to help build the Legal function to scale.
Responsibilities:Negotiate customer contracts, building positive relationships with members of the Sales Team and leading efficient negotiations.Develop a progressive understanding of government procurement.Review and negotiate vendor, partner, and other contracts, securing favorable terms while maintaining positive relationships.Demonstrate excellent communication skills both internally and externally.Provide legal advice and guidance to internal stakeholders on legal matters, collaborating with colleagues across the company.Conduct thorough reviews and analysis of contracts to identify potential risks, ambiguities, and discrepancies.Continuously improve internal templates and legal processes to create efficiencies across the function.Requirements and Preferred Experience:J.D. degree with strong academic credentials and member in good standing of at least one state bar.At least two years of experience drafting, negotiating, and providing guidance on a wide variety of technology transaction agreements.Great judgment, attention to detail, interpersonal, and communication skills.Enthusiastic, hard-working, empathetic person, who enjoys collaborating with many teams.Strong work ethic and the highest level of integrity and business ethics.Positive demeanor and a good sense of humor.Ability to self-start and work independently.Desire to take on greater responsibilities as skills are developed.Understanding of cloud and software industries, including SaaS model, and a strong desire to work on tough legal issues in these areas preferred.Experience in drafting and negotiating vendor, non-disclosure, partnership, license, and other transaction agreements preferred.Familiarity with basic revenue recognition rules preferred.Working knowledge of Microsoft Word and Excel, Slack, G Suite, Gmail, DocuSign, and Salesforce preferred.Demonstrate passion for OpenGov's mission of powering a more effective and accountable government.Do what you say you will do.Other Compensation:
